of eight (8) Sensors on the date of approval of the Agreement by City. Supplier agrees to use its best efforts to secure written acknowledgment from each and every property owner (the "Property Owners") who has agreed in the past or currently to allow the placement of a sensor on his or her property (the "Placement Agreement"). Therefore, prior to receipt of the Second Payment, Supplier agrees to provide City fully executed original documentation from all Property Owners. Supplier further acknowledges that significant effort has been made in determining strategic locations for the System's sensors and represents and warrants at this time and as part of this Agreement that the sensors have been located in the reasonably best available locations to provide maximum effectiveness. Should any of the Property Owners fail to accept or should terminate the Placement Agreement prior to the date of Completion, Supplier, at City's request and option, will relocate the sensor to another suitable location in an expeditious manner. The cost of relocation of a sensor is Two Thousand Five Hundred Dollars ($2,500), payable immediately upon satisfactory relocation. The relocation of a sensor is subject to prior wdtten approval by the City Chief of Police, which approval will not be unreasonably withheld or delayed. 6. Software. The software component of the System is, and shall remain, the proprietary property of Supplier pursuant to the terms of the license agreement, attached hereto and made a part hereof as Exhibit "C."
