of eight (8) Sensors on the date of approval of the Agreement by City. Supplier <br />agrees to use its best efforts to secure written acknowledgment from each and <br />every property owner (the "Property Owners") who has agreed in the past or <br />currently to allow the placement of a sensor on his or her property (the <br />"Placement Agreement"). Therefore, prior to receipt of the Second Payment, <br />Supplier agrees to provide City fully executed original documentation from all <br />Property Owners. Supplier further acknowledges that significant effort has been <br />made in determining strategic locations for the System's sensors and represents <br />and warrants at this time and as part of this Agreement that the sensors have <br />been located in the reasonably best available locations to provide maximum <br />effectiveness. Should any of the Property Owners fail to accept or should <br />terminate the Placement Agreement prior to the date of Completion, Supplier, at <br />City's request and option, will relocate the sensor to another suitable location in <br />an expeditious manner. The cost of relocation of a sensor is Two Thousand Five <br />Hundred Dollars ($2,500), payable immediately upon satisfactory relocation. The <br />relocation of a sensor is subject to prior wdtten approval by the City Chief of <br />Police, which approval will not be unreasonably withheld or delayed. <br /> <br /> 6. Software. The software component of the System is, and shall <br />remain, the proprietary property of Supplier pursuant to the terms of the license <br />agreement, attached hereto and made a part hereof as Exhibit "C."
