Supplier, in signing this Agreement, certifies to the City as true the following statement: I am aware of the provisions of Section 3700 of the Labor Code which requires every employer to be insured against liability for Workers Compensation or to undertake self-insurance in accordance with the provisions before commencing the performance of the work of this contract. In accordance with the provisions of Section 1727 of the Labor Code, the City, before making payment to Supplier of money due under this Agreement, shall withhold and retain therefrom all amounts which have been forfeited pursuant to any stipulation in this Agreement, and terms of Chapter 1, Part 7, Division 2 of the California Labor Code (commencing with § 1720). No sum shall be withheld, retained, or forfeited, except from the Second Payment, without a full investigation by either the Division of Labor Law Enfomement or by the City. 13. Indemnification by Supplier. Subject to the provisions set forth below, Supplier hereby agrees to defend, indemnity, and save harmless City, its Council, officers, agents, and employees against and from any and all claims, demands, suits, actions, damages, costs (including attorneys' fees), losses, and liabilities of every name, kind, and description (including, but not limited to, those arising from delays in the performance of the work hereunder), which may be brought against or suffered by, City, its Council, officers, agents, and employees by reason of any injury to or death of any person of damage, including, but not limited to, damage to property (including loss of use thereof), contractual loss or damage arising from contractual relationship (whether written, oral, or implied), Agmt-078 9 shared~hared~Redwood~Council FXS:rg 07/25/97R
