Whit~ple/Warren Site RFQ - danuary 1993 <br /> <br /> ~. The Offeror f~rther understands that negotiations may be extended beyond the <br /> Exclusive Period, at the discretion of the Agency, to enable the Offeror and Agency to <br /> reach an agreement. <br /> <br /> 6. The Offeror understands that, except as allowed under the terms of the DDA, the <br /> Offeror shall not take any action to make, create, contract for, or agree to any total or <br /> partial sale, assignment, ~,onveyance, lease or other transfer of the Subject Project, or <br /> any portion thereof or any interest therein, without the prior written approval of the <br /> Agency. The Agency shall be entitled to stipulate specific terms and conditions to any <br /> such approval within the DDA. <br /> <br /> 7. Immediately upon Agency approval of an Exclusive right to Negotiate Agreement, the <br /> Offeror will provide the Agency with the name of the Offeror's representative who, <br /> during the Exclusive Period, will be authorized to represent the Offeror. During the <br /> Exclusive Period the Offeror agrees to submit monthly progress reports advising the <br /> Agency on ali matters pertaining to the Project. <br /> <br /> 8. The Offeror understands that the scale, nature and type of redevelopment is subject to <br /> the provisions of the Agency, various approvals of the Agency, and various permits <br /> and approvals issued by the Community Development Department and by other <br /> departments/officers/agencies of the City of Redwood City. <br /> <br /> 9. The Offeror understands that full disclosure will be made to the Agency regarding all <br /> principals, officers, stockholders, etc., of the Offeror and all other pertinent <br /> information concerning the Offeror and associates. <br /> <br /> 10. The Offeror understands that full disclosure will be made to the Agency regarding <br /> methods of financing to be used in developing the Subject Project. <br /> <br /> 11. The Offeror understands that the Agency reserves the right, at any time either before <br /> or after offers are submitted, to specify additional terms and conditions, and to request <br /> additional information and data from the Offeror, and that the Agency particularly <br /> reserves the right to obtain further information, data, and commitment to ascertain the <br /> depth of developer capabilities and desire to develop the subject Project expeditiously. <br /> Adequate time to obtain and submit such additional matters will be provided by the <br /> Agency. <br /> <br /> 12. The Offeror understands that if negotiations culminate in a DDA with the Agency, <br /> such an agreement becomes final only after and if the agreement has been considered <br /> and approved by the Agency Board. <br /> <br /> 13. The Agency will not pay a finder's fee or broker's fee to any Broker or Agent retained <br /> by the Offeror. <br /> <br /> 14. The laws of the State of California shall govern the interpretation of this offer. <br /> <br /> 10 <br /> <br /> <br />
