Schricker
City Attorney
City of Redwood City
702 Marshall Street, Suite 314
Redwood City, CA 94063

Re: Retention of Cox, Castle & Nicholson

Dear Mr. Schricker:

On behalf of Cox, Castle & Nicholson ("CC&N") I m pleased that Redwood City has
selected the Firm to represent the City in connection with evaluating the prospects for insurance
coverage and/or third p~y cost recove~ in co~ection with the solvent plume near the Sequoia
Station shopping center. This letter sets fo~h the terms of CC&N's engagement as legal counsel
to the City. I apologize for the letter's length, but we feel it is impo~t for all pa~ies to have a
clear ~derstanding of the te~s of the engagement, including the fin~cial ~gement. If you
would like to discuss ~y of the te~s of this engagement letter, please do not hesiiate to call me.

1. Scope Of Engagement. Redwood City is retaining CC&N to represent the City
in co~ection with evaluating the prospects for insurance coverage and/or third p~y cost
recove~ arising out of groundwater contmination in the vicinity of the Sequoia Station
shopping center and the Regional Water Quality Control Bond's enforcement effo~s relating to
that contamination. We anticipate that this engagement would include reviewing historic
insur~ce policies ~d policy-related documentation located by others (perhaps including
docments relating to the Boltons), supposing the City in its negotiations with the Regional
Bo~d over the fo~ ~d extent of the enforcement action, ~d evaluating the potential for cost
recove~ from third p~ies should the Regional Board require substantial expendit~es.
