Public Agency shall participa� in the Public Employees' Retirement Syatem from and aiter Ju1y 1, 1841 making ita employees as hereinafter _ provided, members of said System subject to all provisions of the Public Empioyees' Retirement Law except such as appiy only on election of a contracting agency and are not provided for herein and to ail amendments to said Law hereafter enacted except those, which by exprass provisions thereof, appy ony on the election of a contrading agency. 3. Public Agency agrees to indemnify, defand and hold hartnless the Califomia Public Employees' Retirement System (CaIPERS) and its trustees, agents and employees, the CaIPERS Board of Administration, and the Califomia Public Empbyees' Retirement Fund from any daims, demands, actions, losses, liabilities, damages, judgments, expenses and costs, induding but not limited to interest, penalties and attomeys fees that may ariae as a resuR of any of the following: (a) Pubfic Agency's election to provide retirement benefits, provisfons or fortnulas under fhis Contrad that are different than the retirement benefits, provisions or formulas provided under the Public Agency's prior non-CaIPERS retirement program. (b) Public Agency's election to amend this Contract to provide � reUrement beneflts, provisions or fortnulas that are different than existing retirement benefits, provisions or fortnulas. (c) Public Agenc�/s agre.ement with a third parly other than CaIPERS to provide retiremer�t benefits, provisions, or fortnulas that are different than the reUrement benefits, provisions or fortnulas provided under this Contract and provided for under the Califomia Publlc Employees' Retirement Law. (d) Public Agency's elecGon to file fw banlwptcy under Chapter 9 (oommenang with sedlon 901) of Tdle 11 of the United States Bankruptcy Code and/or Public Agency's election to rejed this Contract with the CaiPERS Board of Administration pursuant to section 385, of Trtle 11, of the United States Bankruptcy Code or a�ry similar provision of law. (e) Public Agency's election to assign this Contract without the prior written consent of the CaIPERS' Board of Administration. (� The termination M this Contrad either voluntariy by request of Public Agency or involuntarily pursuant to the Public Empbyees' Retirement Law. (g) Changea aponsored by Public Agency in existing retirement benefrts, provisions or formulas made as a result of amendments, add'dions or deletiona to Califomia statute or to the Califomia Constitution.
