<br />ORIGINAL <br /> <br />AGREEMENT <br /> <br />The CITY OF REDWOOD CITY, a municipal corporation in the State of California, hereinafter <br />referred to as "City", and DEWEY PEST CONTROL hereinafter referred to as "Contractor", for <br />the consideration hereinafter stated, hereby agree as follows: <br /> <br />1. Contractor shall perform everything required to be performed, shall provide and furnish all of <br />the labor, equipment, materials, and tools to perform within the seven (7) calendar days after <br />the NOTICE TO PROCEED, the following work: <br /> <br />RODENT AND COCKROACH CONTROL PROGRAM <br /> <br />(SANITARY SEWERS-CREEKS-MARINA-PORT-CORP YARD) <br /> <br />FOR CITY OF REDWOOD CITY, CALIFORNIA <br /> <br />in strict accordance with the Plans, Contract Documents and Specifications pertaining thereto <br />and signed by the Director, Public Works Services, Redwood City, which Documents are <br />incorporated herein and made a part of this Agreement as if herein fully set forth. <br /> <br />2. City shall pay to Contractor, as full consideration for the faithful performance by Contractor of <br />the aforementioned work for the Initial Period (defined as the first two-years of the Agreement) <br />the amount not to exceed One Hundred Twenty Thousand and 00/100 dollars ($120,000.00) <br />computed per unit price in accordance with Contractor's accepted Proposal dated January 26, <br />2001 which accepted Proposal is incorporated herein by reference thereto as if herein fully set <br />forth. <br /> <br />City is granted an option to extend the Initial Period, for a maximum of five (5) consecutive <br />years in increments of one-year each (known collectively as Extension Periods with each <br />consecutive Extension Period referring to the contract year, as follows: <br /> <br />First Extension Period third year ofthe contract <br />Second Extension Period fourth year of the contract <br />Third Extension Period fifth year of the contract <br />Fourth Extension Period sixth year of the contract <br />Fifth Extension Period seven year of the contract <br /> <br />The compensation for each Extension Period shall be subject to annual adjustment commencing <br />with the first Extension Period, as set forth below. <br /> <br />(a) The San Francisco-Oak1and-San Jose Consumer Price Index, All Items, 1982-84=100 for <br />All Urban Consumers (CPI-U) published by the U.S. Department of Labor, Bureau of <br />Labor Statistics (the "Index") shall be used for the purpose of calculating annual <br />compensation increases. <br /> <br />(b) The "Beginning Index" shall be the index published immediately prior to the <br />commencement of the expiring Period and, as to the First Extension Period, the expiration <br />of the Initial Period. The "Extension Index" shall be the index published immediately prior <br />to the commencement of each subsequent Extension Period.
