Either party may, at any time after ten days from <br /> execution of this Agreement, terminate it, by giving ten days written notice <br /> specifying the effective date and scope of such termination. In the event of <br /> termination, Redwood City shall be entitled to receive payment for work/services <br /> provided prior to termination of the Agreement. <br /> 8. Worker's Comoensation Insurance. Redwood City agrees and understands that <br /> Menlo Park does not provide Worker's Compensation Insurance to, or on behalf <br /> of, Redwood City for the work/services performed, but that said taxes are the <br /> sole responsibility of Redwood City. <br /> 9. Meraer Clause. This Agreement, including the Exhibit attached hereto and <br /> incorporated herein by reference, constitutes the sole Agreement of the parties <br /> hereto and correctly states the rights, duties, and obligations of each party as of <br /> this documenYs date. Any prior agreement, promises, negotiations, or <br /> representations between the parties not expressly stated in this document are <br /> not binding. All subsequent modifications shall be in writing and signed by the <br /> both parties.
