B. - Page 3 <br />AMENDMENT NO. 1 TO AGREEMENT FOR INFORMATION TECHNOLOGY <br />SUPPORT BETWEEN THE CITY of REDWOOD CITY <br />AND THE CITY of EAST PALO ALTO <br />This Amendment No. 1 is made and entered into this 30th day of June , <br />2011, by and between the CITY OF REDWOOD CITY, hereinafter referred to as <br />"RWC ", and the CITY OF EAST PALO ALTO, hereinafter referred to as "EPA," and <br />collectively herein called the "Parties." <br />PPPITei c <br />This amendment is entered into with reference to the following facts and <br />circumstances: <br />WHEREAS, on August 16, 2007, the Parties entered into an information <br />technology support agreement that became effective on September 1, 2007, for a term <br />through June 30, 2008; and <br />WHEREAS, on June 23, 2008, the Parties executed a three -year information <br />technology support agreement that became effective on July 1, 2008, for a term <br />through June 30, 2011; and <br />WHEREAS, the Parties wish to extent the terms of the agreement an additional <br />three- years, effective July 1, 2011, for a term through June 30, 2014. <br />AGREEMENTS <br />NOW, THEREFORE, TIE PARTIES HERETO AGREE AS FOLLOWS: <br />1. That the services described in the Agreement are restated, and that Redwood <br />City will provide those services described in Exhibits A -E. <br />2. That this Amendment and the Agreement shall not be construed or <br />deemed to be an agreement for the benefit of any third party or parties, and no third <br />party or parties shall have any claim or right of action hereunder for any cause <br />whatsoever. <br />i <br />
