14) Termination. In connection with the work to be perFormed by Consultant, City <br /> shall have the right to cancel or indefinitely suspend further work hereunder or terminate <br /> this Agreement upon thirty (30) days' written notice, and all work being performed under <br /> this Agreement shall immediately cease. In the event of a cancellation, termination, or <br /> suspension of this Agreement by City without cause or fault of Consultant, then City <br /> shall pay Consultant for products, services and expenses delivered or incurred prior to <br /> the date Consultant of the City's notice of termination. In the event of a cancellation, <br /> termination, or suspension of this Agreement by City for cause, payment for products, <br /> services, and expenses in dispute will be determined in accordance with a mutually <br /> acceptable dispute resolution process. <br /> 15) Notices. Notices given <br /> by mail shall be deemed to have been delivered forty-eight (48) hours after having been <br /> deposited in the United States mail. <br /> 16) Ownership of Materials. Any and all documents, including draft documents <br /> where completed documents are unavailable, or materials prepared or caused to be <br /> prepared by Consultant pursuant to this Agreement shall be the property of the City at <br /> the moment of their completed preparation. All materials and records of a finished <br /> nature, such as final plans, specifications, data, reports, and maps, prepared or <br /> obtained in the performance of this Agreement, shall be delivered to and become the <br /> property of the City.
