' ORiCIBdI�L <br /> AGREEMENT FOR PROFESSIONAL SERVICES <br /> (Eric and Lori Lochtefeld —"Fox Theater Property LLC") <br /> THIS AGREEMENT is made and entered into as of the � day of <br /> �G'�"�O�P� , 201 I, by and between the CITY OF REDWOOD CI , a charter <br /> city and municipal corporation of the State of California ("City"), and FOX THEATER <br /> PROPERTY LLC ("ConsultanY'). <br /> RECITALS <br /> A. City seeks to attract visitors and stimulate retail activity in the downtown <br /> Courthouse Square area, and consequently sponsors a program of public outdoor <br /> entertainment including musical, performing arts, and other events at Courthouse <br /> Square. <br /> B. City plans to host a"Holiday Skating Rink" which will be operated by the <br /> City in Courthouse Square between November 18, 2011 and January 16, 2012. <br /> C. City seeks to attract corporate sponsorships for the Holiday Skating Rink, <br /> because a decrease in available Redevelopment Agency funds supporting downtown <br /> programs necessitates that the City leverage increasing private financial support to <br /> continue stimulating retail activity in the downtown area. <br /> C. City requires professional services to solicit sponsorships and contribute <br /> other ancillary services to the City during its operation of the Holiday Skating Rink. <br /> D. Consultant has the necessary experience in soliciting corporate <br /> sponsorships and providing other services such as selling tickets for events. <br /> E. Consultant has submitted a proposal to City and has affirmed its <br /> willingness and ability to perForm such work. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scooe of Work. City retains Consultant to perform, and Consultant agrees to <br /> render, those services (the "Services") that are defined in attached Exhibit "A," which is <br /> incorporated herein by reference. In the event of a conflict between the provisions of <br /> Exhibit "A" and the terms of this Agreement, the terms of this agreement shall prevail. <br /> City shall have the right to modify the scope of work to,delete tasks in whole or in part. <br /> 2. Standard of Performance. While performing the Services, Consultant will <br /> exercise the reasonable professional care and skill customarily exercised by reputable <br /> members of ConsultanYs profession practicing in the urban Northern California Area, <br /> ATTY/AGR/2011.105 CHS Skating Rink Sponsorship � <br /> 100611 <br />
