By signing this Grent Agreement and accepdng gant funds, an officer, d'uector, or trustee of the Cnantee makes the represenffitions and agrees to the obligations and conditions set forth below. _, , � Parpose of Grant '' This gant is for the Sequoia Tean Resource Center program over two yeais ($40,000 in 2011-12 and $40,000 in � 2012-13), as described in tha Grantee's letter and proposal dated October 14, 2011. The Grantee mey not use ' t6e funda for any other purpose unle,cs written permiasion has been received from tlte Fonndatlon. Any portfoo of the grant thnds not comm3tted to tLe porposes of the grant must be retamed W t6e,Founda8on. The G�antea must inform the Foundation if there are significant changes in tha puqwsas of the grent, the use of �ant funds, or personnel who are impoiient to accomplishing the purposes of tha grant or if the gant funds cannot ba expended in the time period set forth in the grant proposal. , The Grantee confiims that it retains full discretion end control over the process of selecting any pecsons or organi�ations (researcheis, employees, independent contractnrs, sacondery grentees, conference participants, consultanffi, vendors, or suppliers) or any equipment, supplias, or products, to cairy out the purposes of this grant, completcly independently of.the Foundetion.l'he Grautee confirms that there is no agreement, either writfen or otal, that the Foundation can cause the sel�tion of particular �rsons or arganizations or direcY the use of gant funds'for my particular eacpenditures. Required Reporfs and Recarda T6e Giantea will submit narrative and financial repbrts, as scheduled above, to the Poundation.l'he nerrativa reports should summariu the progress made in accomplishing tha purposes of the grant. The financial repoits ' should describa how grant funds were spent based upon the budget submitted to tha Foundation. The Giantee remains responsible for reporting on this grant until all requirements have been fiilfilled. . The Grantee will maintain books and records of the grant funds received aad the expenses incurred, as tequired by the Intemel Revenue Code and Treasury Regulations, until all grant requirements hava bcen fulfilled.
