Exhibit A <br /> Scope of Services <br /> Payment Processor Integration r <br /> Infosend, Inc., ("ConsultanY') has an existing integration agreement with a third party service <br /> provider Phoenix Payment Systems, Inc. doing business as Electronic Payment Exchange <br /> ("EPX"). ConsultanYs Electronic Bill Presentment and Payment (EBPP) application has been <br /> integrated with EPX using a secure server-to-server connection. The EBPP application <br /> provides a web interface for the City's customers to view their bills and initiate payments. The , <br /> payment instructions are transmitted from the ConsultanYs system to EPX for processing. <br /> The City must maintain separate Agreements with EPX ("EPX Agreements") for payment <br /> processing services. EPX provides the City with the "merchant accounY' that will be used to <br /> process payments and settle funds to the City's bank account. The terms of the EPX <br /> Agreements require the City to undertake certain responsibilities and liabilities over which <br /> Consultant, pursuant to this Agreement, has exclusive control. Consultant understands and <br /> accepts that per the terms of this Agreement it is providing the EBPP application to the City of <br /> Redwood City and therefore it must accept responsibility for the work that the City is <br /> outsourcing to it. Consultant has reviewed the EPX Agreements, EPX Merchant Agreement <br /> November 15, 2011 and EPX Electronic Transaction Processing Agreement dated November <br /> 21, 2011 and takes responsibility for performing the work and assumes all obligations and <br /> liabilities to the extent permitted by law, as specified in the sections specified below. <br /> Consultant further agrees to defend, indemnify and hold harmless City and its officers, <br /> agents, employees and volunteers from and against all claims, damages, losses and <br /> expenses including attorney fees arising out of the performance of these Services related to <br /> the specified sections of the EPX Agreements, caused in whole or in part by the willful <br /> misconduct or any negligent act or omission of the Consultant, any subcontractor, anyone ._ <br /> directly or indirectly employed by any of them or anyone for whose acts any of them may be <br /> liable, except where caused by the active negligence, sole negligence, or willful misconduct <br /> of City. <br /> EPX MERCHANT AGREEMENT <br /> 2.6 Customer Comolaints. Merchant shall respond promptly to inquiries from Cardholders and <br /> shall resolve any disputes amicably. Bank and EPX reserve the right to charge Merchant <br /> reasonable fees and reimbursement on account of excessive Cardholder inquiries, refunds or <br /> Chargebacks. Merchant agrees to maintain the following information in writing with respect to <br /> each claim or defense asserted by a Cardholder for which Merchant has received notice: <br /> i. The Cardholder's name; <br /> ii. A unique confirmation number (transaction sequence number, or other identifier) that <br /> the Merchant can use to reference the transaction in subsequent communications with <br /> the Bank or EPX; <br /> iii. The date and time the Cardholder asserted the claim or defense; <br /> iv. The nature of the claim or defense; and <br /> v. The action which Merchant took in an attempt to resolve the dispute. <br /> Upon request, Merchant shall furnish Bank with this information in writing within ten.(10) days. <br /> InfoSend a rees to meet this re uirement in rovidin Redwood Ci su ort and information <br />
