B. - Page 4 <br /> DESIGN PROFESSIONAL AGREEM�NT <br /> (Be[lecci & Associa�es, Inc,) <br /> THiS AGREEMENT is made and entered into as of the day of <br /> , 2011, by and between the CITY OF REDWOOD CITY, a charter <br /> city and municipal corporation of the State of California {"City"), and Bellecci & <br /> Assaciates, lnc.("Consulta�t"). <br /> RECITALS <br /> t <br /> A. City requires the professior�al services of a consulting engir�eering firm. <br /> B. Co�sultant has the necessary experience in praWiding professional <br /> services and advice. <br /> C. Selection of Consultant is expected to acE�ie�e the d�sired res�lts in an <br /> expedited fashion. <br /> D. Consultant has submitted a propasal to City and has affirmed its <br /> willingness and ability to perform such work. <br /> NOW, THERE�ORE, in consideration of these recitals and the mutual ca�enants <br /> contained �erein, the Parties agree as follows: <br /> 1. 5cape of Work. City refains Consul�ant to perforrn, and Consultant agrees to <br /> render, tfiose services (t�e "Se�vices"} that are defined in attached Exhibit "A," which is <br /> incorporated herein by referer�ce. ]n the e�ent of a confliet between the pro�isions of <br /> Exhibit "A" and the terms of this Agreeme�t, t�e terms of this Agreement shall prevail. <br /> City shal! ha�e tf�e right to modify the sco�e of work #o delete tasks in whole or in part. It <br /> is anticipated that additior�al work may be added to this scape af wark at some time ir� <br /> the future, however, such additional work and additional fee shal! be added anly through <br /> a� amendment to this agreement. <br /> 2. Star�dard of Per�ormance. While performing the Services, Consultant will <br /> exercise the reasonable professio�al care and ski[I c�stomarily exercised by reputable <br /> members of Consultant's profession practicing in the urban Northern California Area, <br /> and will use reasonable diligence and best judgment while exercisir�g its professional <br /> skill and expertise. <br /> 3. Term. Unless earlier terminated, the term of this Agreement will commence �po� <br /> the date first above written and shall expire upon completion of performar�ce of Services <br /> he�eunder by Consuitant. <br /> 4. Schedule.
