<br /> SCHOOLS AND THE CITY OF REDWOOD CITY FOR SAN MATEO COUNTY
<br /> CHILD CARE PARTNERSHIP COUNCIL SERVICES.
<br /> L PURPOSE OF AGREEMENT
<br /> THIS AGREEMENT is made on behalf of the San Mateo County Child Care Partnership
<br /> Council (CCPC), the Local Cluld Care Plaiuling Council for San Mateo County, and entered into
<br /> by ai7d between the San Mateo County Superintendent of Schools ("County Superintendent") as
<br /> lead agency and fiscal designee and the City of Redwood City, a charter city and muiucipal
<br /> corporation of the State of Califoriva ("City") for the purpose of funding costs for activities in
<br /> support of the Child Care Partnership Council.
<br /> The Sai1 Mateo County Superintendent of Schools is the lead agency and fiscal agent for the
<br /> Child Care Partnership Council. The City has been selected by the County Superintendent to
<br /> receive funds in order to provide the services detailed in the attached Scope of Worlc
<br /> (Attachment A) in support of the work of the Child Care Partnership Council. Funding for this
<br /> agreement is contingent upon completion of all required responsibilities (See Sections 2 ai7d 3
<br /> below) in a manner that is both timely and in compliance with the terms of the Agreement.
<br /> IL COUNTY SUPERINTENDENT'S RESPONSIBILITIES
<br /> It is agreed between the County Superintendent of Schools and the City as follows:
<br /> 1. Term of Agreement
<br /> The term of this Agreement shall be from January 16, 2012 to June 30, 2012.
<br /> 2. Pavments
<br /> The County Superintendent shall issue payinent to the City in an amount not to exceed
<br /> fifteen thousand, seven hundred and nineteen dollars and no cents ($15,719) for the Services
<br /> (personnel costs $14,919; other expenses $800). Persomlel costs are charged at $51.80 hourly
<br /> for 288 hours (equivalent to .3 FTE for 24 weelcs). Payments will be made to City on a
<br /> quarterly basis for actual expenditures and be based upon invoices submitted to the County
<br /> Superintendent by City and in accordance with the Budget (Attachment B). Any change in
<br /> tlus agreement will occur only upon mutual written agreement of both Parties.
<br /> 3. Hold Harmless
<br /> The County Superintendent shall defend, indemiufy, and save harinless the City, its council,
<br /> boards, commissions, officers, employees and agents, from and against any and all claims,
<br /> suits, actions liability, loss, damage, expense, cost (includin�, costs and fees of litigation) of
<br /> every nature, lcind or description, wluch inay be brought against, or suffered or sustained by
<br /> City, its council, boards, coinmissioi7s, officers, employees or agents to the extent such
<br /> claims, suits, actions, liability, loss, damage, expense, cost (including costs and fees of
<br /> litigation) of every nature, land or description which may be brought against, or suffered or
<br /> sustained by City, its council, boards, coinn�issions, officers, einployees or agents are caused
<br /> by the negligent act or omission, intentional tortious act or omission, or willful misconduct of
