EXHIBIT "A" <br /> SCOPE OF SERVICES <br /> Agreement For Legal Services <br /> (Disclosure Counsel) <br /> Pacific Shores Community Facilities District Refinancing <br /> THIS AGREEMENT FOR LEGAL SERVICES (Disclosure Counsel) is made and entered <br /> into 12� day of December, 2011, by and between the CITY OF REDWOOD CITY (the "City"), <br /> and QUINT & THIMMIG LLP, San Francisco, California ("Attorneys"). <br /> RECITALS: <br /> WHEREAS, the City anticipates the issuance of bonds of the City for its Coinmunity <br /> Facilities District No. 2000-1 (Pacific Shores Project) (the 'Bonds`) to provide funds to refund in <br /> whole the City of Redwood City Community Facilities District No. 2000-1 (Pacific Shores <br /> Project) Special Tax Bonds, Series 2000A; and <br /> WHEREAS, the City has determined that Attorneys are specially trained and <br /> experienced to provide services as disclosure counsel in connecHon with the sale of the Bonds <br /> and Attomeys aze willing to provide such services; and <br /> WHEREAS, the public interest, economy and general welfare will be served by this <br /> Agreement for Legal Services (Disclosure Counsel). <br /> AGREEMENT: <br /> NOW THEREFORE, TT IS HEREBY AGREED, as follows: <br /> Secrion l. Duties of Attornevs. Attomeys shall provide legal services in connection with <br /> the preparation of the official statement to be used in connecrion with the offering and sale of <br /> the Bonds (an "Official Statement"), the Bond purchase agreement and the conHnuing <br /> disclosure agreement Such services shall include the following: <br /> (a) Prepare the Official Statement (both preliminary and final) in connection with <br /> the offering and sale of the Bonds; <br /> (b) Confer and consult with the officers and administrative staff of the City as to <br /> matters relaring to the Official Statement; <br /> ATTY/AGR/2012.004/QUINT THIMMIG <br /> REV:01/12/12 <br /> Page 10 of 12 <br />
