or employees of City in connection with the performance of Builder's obligations <br />under this agreement. <br /> <br /> 12. Successors, Assigns. This agreement, and the rights, duties, and <br />obligations hereunder, shall inure to, and be binding upon, the successors, <br />assigns, and heirs of the parties hereto. Builder may assign this agreement <br />subject to City's approval, which approval shall not unreasonably be withheld or <br />delayed. <br /> <br /> 13. Governing Law. This agreement shall be interpreted in accordance <br />with, and the parties' performance hereunder governed by, the laws of the State <br />of California. <br /> <br /> 14. Entire Agreement. This agreement comprises the entire agreement <br />between the parties regarding the subject matter thereof. All prior <br />understandings or agreements pertaining to said subject matter are hereby <br />superseded and replaced. <br /> <br /> 15. Paragraph Headings.
