<br />2.12 Within thirty (30) days following execution and delivery of this
<br />Agreement, Habitat shall provide an accounting to Christine V'.'alters (pursuant to Habitat's
<br />house pricing and house cost guidelines) showing the costs incurred in connection with Habitat's
<br />acquisition and construction of the Property as well as the sale price of the Property to Walters.
<br />Because of the way Habitat kept its books and records for this project, the costs associated with
<br />the Property are 1/6 of the total for the Hope Court project plus the cost of •'
<br />modifications that were installed. To the extent that the sale price to Chrigtjiff Walterswceeds
<br />the costs, Habitat will provide Christine Walters with a credit against the i9jAgage up t

<br />punch list items can be agreed upon, those items will be�np part of the Approved
<br />Remodel work. To the extent punch list items_cannot be a�eed upon after reasonable efforts by
<br />the parties, either party may seek arbit tough JAMS bf the responsibility for those
<br />additional punch list items, provided46�Fs ch aziatio ceeding must be commenced within
<br />sixty (60) days following execution and delivery ogreement.
<br />2.14 Within thirty 3 -- qs following execution and delivery of this
<br />Agreement, Walters shall tak_FM4=esWay action to dismiss with prejudice and/or withdraw the
<br />HUD Claims. A copy ofEe format=dismisW(s) with prejudice or withdrawal(s) shall be
<br />provided by Walters to counsel for the and counsel for Habitat as soon as reasonably

<br />-- 3.- Except'With respect to the obligations created by, acknowledged, or arising out of
<br />this Agreement, and except as set forth in paragraph 3.1 below, Walters, on the one hand, and the
<br />City and Habitat, on the other hand, do hereby for themselves and their respective legal
<br />successors and assigns, release and absolutely and forever discharge each other and their
<br />respective affiliate corporations, shareholders, elected officials, officers, directors, employees,
<br />agents, attorneys, insurers, legal successors and assigns, of and from any and all claims,
<br />demands, damages, debts, liabilities, accounts, obligations, costs, expenses, liens, actions and
<br />causes of action of every kind and nature whatsoever, whether now known or unknown,
<br />suspected or unsuspected which either now has, owns or holds or at any time heretofore ever
<br />had, owned or held or could, shall or may hereafter have, own or hold against the other based
<br />upon or arising out of any matter, cause, fact, thing, act or omission whatsoever occurring or
