Indenture), to be financed, acquired or constructed or otherwise made subject to the Lease <br />Agreement, by the preparation, execution and delivery of such Additional Bonds, and (iii) make <br />such other revisions to the Lease Agreement as are necessitated by the execution and delivery of <br />such Additional Bonds (provided, however, that such other revisions shall not prejudice the <br />rights of the Owners of Outstanding Bonds as granted them under the terms of the Indenture); <br />and <br />(b) Upon the execution and delivery of such Additional Bonds, the amount on <br />deposit in the Reserve Fund shall be at least equal to the Reserve Requirement, or in a reserve <br />fund established under such Supplemental Indenture taking into account the execution of the <br />Additional Bonds; and <br />MUNICIPAL BOND INSURANCE POLICY <br />[to come if applicable] <br />I:i �1 :4 y_Ty 1 e�7.l <br />The following factors, along with the other information in this Official Statement, should <br />be considered by potential investors in evaluating purchase of the Bonds. However, the <br />following does not purport to be an exhaustive listing of risks and other considerations which <br />may be relevant to an investment in the Bonds. In addition, the order in which the following <br />factors are presented is not intended to reflect the relative importance of any such risks. <br />General Considerations - Security for the Bonds <br />The obligation of the City to make the Lease Payments does not constitute a debt of the <br />City or the State or of any political subdivision thereof within the meaning of any constitutional <br />or statutory debt limit or restriction, and does not constitute an obligation for which the City or <br />the State is obligated to levy or pledge any form of taxation or for which the City or the State <br />has levied or pledged any form of taxation. <br />Although the Lease Agreement does not create a pledge, lien or encumbrance upon the <br />funds of the City, the City is obligated under the Lease Agreement to pay the Lease Payments <br />from any source of legally available funds. The City has covenanted in the Lease Agreement <br />that it will take such action as may be necessary to include all rental payments due under the <br />Lease Agreement in its annual budgets and to make necessary annual appropriations for all <br />such rental payments. The City is currently liable and may become liable on other obligations <br />payable from general revenues, some of which may have a priority over the Lease Payments. <br />The City has the capacity to enter into other obligations which may constitute additional <br />charges against its revenues. To the extent that additional obligations are incurred by the City, <br />the funds available to make Lease Payments may be decreased. In the event the City's revenue <br />sources are less than its total obligations, the City could choose to fund other activities before <br />making Lease Payments and other payments due under the Lease Agreement <br />The City's ability to collect, budget and appropriate various revenues is subject to <br />current and future State laws and constitutional provisions, and it is possible that the <br />-15- <br />
