10, Documentation. The District agrees to execute and <br />acknowledge any other documentation that may be necessary to give <br />validity to this Agreement, including, but not limited to, the <br />subordination provisions of Section 9 hereof. <br />11. A22roval of Second Amendment The District consents to <br />and approves the proposed Second Amendment, which has been <br />reviewed by the District and provides for the use of 'fax <br />Increment financing. The District further agrees that it will <br />not file or participate in any lawsuit or proceedings attacking <br />or otherwise questioning the validity of the Second Amendment or <br />the adoption or approval of the Second Amendment, or any other <br />findings or determinations previously made or to be made by the <br />Agency or the City Council in connection with the Second <br />Amendment or its implementation, In the event any such lawsuit <br />or proceedings are brought or Joined and final judgement is <br />rendered declaring the Second. Amendment invalid, or the adoration <br />of the Second Amendment is set aside by referendum, this <br />Agreement shall be of no further force or effect. <br />12, Entire Agreement, This Agreement constitutes the <br />entire understanding and agreement between the parties and <br />supersedes all previous negotiations between there with respect to <br />the Second Amendment. Except as otherwise expressly provided <br />herein, neither this Agreement nor any of the terms hereof may be <br />amended, modified, waived or terminated except by a written <br />instrument signed by the parties hereto, It is the intent of the <br />Agency and the District that the payments herein provided <br />0 <br />
