Caltrans District 4("Caltrans"), who shall have full access to the Project equipment <br /> throughout the Project limits but is not a signatory to this Agreement, shall enter into a <br /> separate agreement with C/CAG for the construction of portions of the Project on State <br /> right of way and the maintenance and operations of the Project (the "GCAG-Caltrans <br /> AgreemenY'). <br /> G. The COUNTY shall enter into a separate agreement with GCAG with regard to the <br /> construction of portions of the Project on local arterials (the "GCAG-COIJNTY <br /> AgreemenP'). <br /> AGREEMENT <br /> The parties hereto agree as follows: <br /> 1. Conditions Precedent to Effectiveness of Agreement <br /> This Agreement shall become effective and binding upon [he parties only if and once the <br /> GCAG-Caltrans Agreement and the GCAG-COUNTY Agreement are entered into. <br /> 2. Equipment <br /> A. New Equipment: <br /> The COIJNTY shall install the following equipment and components of the new Intelligent <br /> Transportation System (ITS) the Project elements ("New EquipmenY'): <br /> t) Directional signs (trailblazers and other); <br /> 2) Fixed or pan-tilt-zoom (PTZ) closed-circuit television cameras (CCTV); <br /> 3) Communications infrastructure (conduit, fiber, twisted wire copper, pull boxes, <br /> splice enclosures, wireless, software, and associated equipment); <br /> 4) Arterial changeable message signs (Arterial Dynamic Message Signs — <br /> ADMS); <br /> 5) Vehicle detection systems; <br /> 6) CenYer-to-center communications equipmen[ between San Mateo County Hub <br /> (SMCHub) and District 4 Traffic Management Center (D4TMC); and <br /> 7) Power supply line and equipment. <br /> B. Upgraded Equipment. <br /> The CO[JNTY may upgrade the following equipment to the satisfaction of Redwood City, if <br /> necessary, to meet the operational needs of the Project ("Upgraded EquipmenP'): traffic signal <br /> controllers, cabinets, signal interconnect equipment, and signal operating software systems. <br /> C.
