,����'7�N�� <br /> FIRST AMENDMENT TO <br /> REVOCABLE LICENSE AGREEMENT <br /> BETWEEN THE CITY OF REDWOOD CITY <br /> AND REDWOOD CITY KIWANIS CLUB <br /> This FIRST AMENDMENT TO REVOCABLE LICENSE AGREEMENT <br /> ("Amendment") is made and entered into as of May�013, by and between the CITY <br /> OF REDWOOD CITY ("City"), a charter city and municipal corporation, and REDWOOD <br /> CITY KIWANIS FOUNDATION ("Licensee"), a non-profit organization. City and <br /> Licensee are collectively referred to herein as the "Parties". <br /> RECITALS <br /> A. On March 19, 2012, the City and Licensee entered into a Revocable <br /> License Agreement Between the City of Redwood City and Redwood City Kiwanis Club <br /> for a Farmers Market in the City's Winslow Parking Lot at the Corner of Hamilton Street <br /> and Winslow Street ("Original AgreemenY'), setting forth terms and conditions relating to <br /> operation of a farmers market at the City's Winslow Parking Lot ("Original Site"). <br /> Capitalized terms used herein and not otherwise defined shall have the meanings given <br /> to such terms in the Original Agreement. <br /> B. The City seeks to have the Original Site available for a contractor staging <br /> area and/or other construction-related uses for projects within the Downtown area. <br /> C. Licensee and City have identified an alternate location for the operation of <br /> the farmers market. <br /> D. The Parties now desire to amend the Original Agreement to memorialize <br /> the relocation of the farmers market, all as set forth below. <br /> AGREEMENT <br /> NOW, THEREFORE, in consideration of the foregoing recitals and for other good <br /> and valuable consideration, the Parties hereby agree as follows: <br /> l. Relocation of Farmers Market. Licensee shall vacate the Original Site and <br /> relocate its farmers market to the new alternate location depicted in Exhibit A-1 attached <br /> hereto and located on Arguello Street extending from Marshall Street to a point <br /> approximately 530 feet northwest toward Brewster Avenue, and on Bradford Street from <br /> Arguello Street to a point approximately 150 feet northeast (mid-block) toward Warren <br /> Street, Redwood City, California ("Alternate Site"), no later than September 1, 2013 <br /> ("Relocation Date"), on the terms set forth in Section 2 below. Licensee may vacate the <br /> Original Site and relocate to the Alternate Site at any time prior to the Relocation Date <br /> so long as it provides the City with 5 days' advance written notice of such early <br /> relocation.
