Concurrent with execution of this Amendment, Licensee has submitted an updated traffic control plan or entry and exit plan to the relocated farmers' market, showing ingress, egress, delivery routes, and parking ("Updated Traffic Control Plan"). Licensee shall, at its sole costs and expense, ensure compliance with the Updated Traffic Control Plan throughout the Term of this Agreement. Such Updated Traffic Control Plan may be modified from time to time as City may determine in the best interest of the public. Any reference to the Traffic Control Plan in the Original Agreement shall be to this Updated Traffic Control Plan. d. Updated Exhibit A-1. Exhibit A-1 attached to the Original Agreement is hereby deleted and replaced with Exhibit A-1 attached hereto. e. Updated Exhibit A-2. Except as amended by this Amendment, the Original Agreement remains unmodified and in full force and effect in accordance with its terms. 4. Entire Aqreement. The Original Agreement, as amended by this Amendment, contains the entire and final agreement between the Parties and supersedes all other agreements, oral or otherwise, regarding the subject matter hereof. 5. Miscellaneous. This Amendment may be executed in counterparts, each of which shall, irrespective of the date of its execution and delivery, be deemed an original, and the counterparts together shall constitute one and the same instrument. This Amendment shall be deemed to be jointly prepared the parties and any ambiguities or uncertainties herein shall be construed neither for nor against either of the parties. The words "including" and "included," shall be interpreted as though followed by the words "without limitation." The invalidity of any provision of this Amendment as determined by a court of competent jurisdiction shall in no way affect the validity of any other provision hereof.
