Please <br /> include us in any communica[ions connected with [he grant, including press releases, <br /> programs, announcements, invitations, stories in the media, annual reports, and <br /> newslet[ers, and submit copies of any such publications wi[h your project report(s). My sta[ement about <br /> Foundation policy should be cleazeA in advance through our Marketing Communications <br /> Officer. <br /> V. BUDGET AND USE OF FUNDS <br /> Funds must be used by the grantee stricdy in accordance with the final budget on which <br /> the grant was based. Any changes must be approved in advance by the Foundapon. <br /> VI. REVERSION OF FUNDS <br /> All funds not expended for the purposes agreed to by the gran[ee and the Foundation <br /> must be re[urned to the Foundation. <br /> VII. AUDIT <br /> The Foundauon reserves [he right [o conduct an audit of any grantee if it appears <br /> appropriate and necessary. <br /> Vlll. MONITORING AND EVALUATION <br /> In order to assess the effectiveness of our grants, the Foundation may monitor or conduct <br /> an evaluation of the program funded by this grant, which may include visits by <br /> representatives of the Foundation to observe the grantee's program procedures and <br /> operarions and ro discuss the program with the grantee's personnel. <br /> IX. HOLD HARMLESS <br /> In accepdng a grant from the Foundation, [he gran[ee hereby irrevocably and <br /> uncondiuonally agrees, to the fullest extent permitted by law, ro defend, indemnify and <br /> hold hamiless The San Francisco Foundation, its officers, directors, austees, employees <br /> and agenu, from and against any and all claims, liabili[ies, losses and expenses (including <br /> reasonable attomeys' fees) direcdy, indirecqy, wholly or partially azising from or in <br /> connec[ion with any act or omission of the grantee, its employees or agents, in applying <br /> or accepting such grant, in expending or applying the funds furnished pursuant to such <br /> grant or in catrying ou[ the program or project ro be funded or financed by such grant, <br /> except ro the extent that such claims, liabili[ies, losses or expenses arise from or in <br /> connection with any act or omission of The San Frnncisco Founda[ion, its officers, <br /> directors, wstees, employees or agents. <br /> The Board and staff of The San Francisco Founda[ion are pleased to be able to make this grant <br /> (#S 1430) to your organization.
