3. License Fee <br /> A. As consideration for the grant of the License, COUNTY shall pay CITY a license <br /> fee in the amount of $ 1.00 per year ("License Fee"). Each annual installment of the <br /> License Fee shall be payable in advance, on or before the annual anniversary date of <br /> the effective date of this Agreement. License fees shall be payable to CITY at the <br /> address set forth in Section 28 below or at such other address as ClTY may from time to <br /> time designate in writing. <br /> B. As additional consideration, COUNTY shall, and hereby agrees to, involve CITY <br /> in the exterior design of the County jail facility. CITY shall designate a representative <br /> who may Participate in all exterior design related Jail Planning Unit Team meetings or <br /> sessions relating to the County jail facility, including, without limitation, Jail Planning Unit <br /> Team meetings and sessions held by COUNTY, Sheriff's Department, and/or the entity <br /> selected for the exterior design of the proposed County jail facility. COUNTY shall <br /> provide CITY with a schedule of Jail Planning Unit Team exterior design related <br /> meetings once such schedule has been developed, and shall keep City apprised of any <br /> additional Jail Planning Unit Team exterior design related meetings and sessions, <br /> Provided, however, nothing herein shall give the City greater approval authority that it <br /> might have in the absence of this Agreement. <br /> 4. Acknowledaments bv COUNTY. <br /> A. COUNTY acknowledges that COUNTY has no right, title, or interest in or to any <br /> portion of the License Area, other than the License specifically granted by the terms of <br /> this Agreement. The License is personal to COUNTY and cannot be assigned, <br /> transferred, or otherwise conveyed by COUNTY or by operation of law. <br /> B. COUNTY further acknowledges that the License Area may be subject to flooding and <br /> other use limitations and that CITY makes no representations regarding the suitability of <br /> the License Area for COUNTY's intended use. <br /> 5. Use of License Area <br /> A. Authorized Activities on the License Area. COUNTY may enter upon and use <br /> the License Area solely for storage and staging purposes during construction of its <br /> Counry jail facility, including vehicle parking and storage of building supplies, ducts, <br /> piping, fittings, bulldozer, loader, scrapers, wmpaction equipment, backhoes, and <br /> excavators (collectively, the "Activities"). COUNTY shall not conduct any construction <br /> activities on the License Area and shall not discharge any waste into the bay. <br /> B. Installation of facilities. COUNTY may install certain facilities consisting of <br /> temporary and non-permanently attached job site trailers, storage containers, portable <br /> restroom facilities, other miscellaneous portable structures, all related to and used in <br /> connection with construction of the County jail facility on the County Property <br /> ("Permitted Facilities"). Except with CIN's prior written consent, which shall not be <br /> unreasonably withheld, COUNTY shall not make any alterations, additions, <br /> improvements or other changes (collectively referred to as "Alterations") on or with <br /> respect to the License Area, not specifically described herein. Upon termination of this <br /> License, at CITY's request, COUNTY shall remove all Alterations.
