6.4.A. - Page 3 <br /> AGREEMENT FOR PRQFESSIONAL SERVIC <br /> IY�Gt � � <br /> THIS AGREEMENT is made and entered into on A��ri�l, 2012, by and between the <br /> City of Redwood City, a municipal corporation, acting as the Successor Agency to the Redwood <br /> City Redevelopment Agency ("CITY"), organiz�d and existing under the provisions of AB xl 26, <br /> enacted June 29, 2Ull ("Redevelopment Dissolution Act"}, and Craig Labadie, an attorney <br /> licensed to practice law in the State of Califorriia ("ATTORNEY"}. <br /> THE PARTIES ENTER THIS AGREEMENT based upon the following facts, <br /> understandings and intentions: <br /> City Attorney would provide legal services to the REDWOOD CITY OVERSIGHT <br /> BOARD ("OVERSIGHT BOARD") as contemp�ated pursuant to the Redevelopment <br /> Dissolution Act as part of its staf�ng obligatian, but because the City Attorney's Office has a <br /> con#lict of interest due to its representation of CITY as the Successor Agency, CITY is obtaining <br /> the services of special counsel to serve as the legal advisor for the OVERSIGHT BOARD; and <br /> CITY desires to contract with ATTORNEY and ATTORNEY desires to contract with <br /> CITY for pravision of professional services as further described herein, upon the terms and <br /> conditions hereinafter set forth. <br /> NOW, THEREFORE, IN CONSIDERATION of the mutual covenants and promises <br /> of the parties herein contained, t�e parties hereto agree as follows: <br /> 1. Effective Date. The effective date of this Agreement is April ] 2, 2012. <br /> 2. Scope of Services. CITY engages ATTORNEY to provide legal advice and <br /> representation to OVERSIGHT BOARQ regarding implementation of the Rede�elopment <br /> Dissolution Act, including but not �imited to advice regarding the powers and aut�es of the <br /> OVERS[GHT BOARD under the Act as well as compliance with the requirements of the Brown <br /> Act, Public Records Act and Poli#ical Reform Aet in the performance of such powers and duties. <br /> ATTORNEY shall provide both GENERAL LEGAL SERVICES and CLIENT SPECIFIC <br /> LEGAL SERV�CES, which are defined in Section 4. <br /> ATTY/AGII/2012 038/OVERSIGHT BOARD LABAb1E <br /> REV_04-04-12 VR <br /> Page 1 of 5 <br />
