14. Compliance with Applicable Laws <br />All services to be performed by Habitat pursuant to this Agreement shall be <br />performed in accordance with all applicable Federal, State, City and Municipal <br />laws, ordinances, regulations, including but not limited to appropriate licensure, <br />certification regulations, and provisions pertaining to confidentiality records, and <br />applicable quality assurance regulations. <br />15. Hold Harmless <br />Habitat shall indemnify and save harmless the Agency, its Board, the City, its <br />Council, and their respective officers, boards, commissions, agents and <br />employees (collectively, "Indemnities") from all claims, suits or actions of every <br />name, kind and description, brought for, or on account of, injuries to or death of <br />any person, including Habitat or damage to Property of any kind whatsoever and <br />to whomsoever belonging, including but not limited to, the concurrent passive <br />negligence of the Agency, its Board, the City, its Council, and their respective <br />officers, boards, commissions, agents, and employees, resulting from the <br />performance of any work required by this Agreement of Habitat, its officers, <br />agents, employees and/or servants, provided that this shall not apply to injuries <br />or damage for which Indemnities, or any one of them have been found in a court <br />of competent jurisdiction to be solely liable by reason of its own negligence or <br />willful misconduct. <br />The duty of Habitat to indemnify and save harmless, as set forth herein, shall <br />include the duty to defend as set forth in Section 2778 of the California Civil <br />Code. <br />16. Nonprofit Status of Habitat <br />Habitat agrees to maintain its status as a nonprofit corporation during the term of <br />this Agreement and that its failure to do so shall be grounds for reimbursement <br />of HOME and CDBG funds expended by City and Agency in connection with the <br />acquisition, sale and development of the Property. <br />17. Breach of Contract <br />Applicable federal statutes and regulations, as referred to elsewhere herein <br />govern this Agreement. Any material deviation by Habitat for any reason from <br />the requirements thereof, or from any other provision of this Agreement, shall <br />constitute a breach of this Agreement and may be cause for termination at the <br />election of City and Agency or upon the direction of HUD.
