14. Compliance with Applicable Laws All services to be performed by Habitat pursuant to this Agreement shall be performed in accordance with all applicable Federal, State, City and Municipal laws, ordinances, regulations, including but not limited to appropriate licensure, certification regulations, and provisions pertaining to confidentiality records, and applicable quality assurance regulations. 15. Hold Harmless Habitat shall indemnify and save harmless the Agency, its Board, the City, its Council, and their respective officers, boards, commissions, agents and employees (collectively, "Indemnities") from all claims, suits or actions of every name, kind and description, brought for, or on account of, injuries to or death of any person, including Habitat or damage to Property of any kind whatsoever and to whomsoever belonging, including but not limited to, the concurrent passive negligence of the Agency, its Board, the City, its Council, and their respective officers, boards, commissions, agents, and employees, resulting from the performance of any work required by this Agreement of Habitat, its officers, agents, employees and/or servants, provided that this shall not apply to injuries or damage for which Indemnities, or any one of them have been found in a court of competent jurisdiction to be solely liable by reason of its own negligence or willful misconduct. The duty of Habitat to indemnify and save harmless, as set forth herein, shall include the duty to defend as set forth in Section 2778 of the California Civil Code. 16. Nonprofit Status of Habitat Habitat agrees to maintain its status as a nonprofit corporation during the term of this Agreement and that its failure to do so shall be grounds for reimbursement of HOME and CDBG funds expended by City and Agency in connection with the acquisition, sale and development of the Property. 17. Breach of Contract Applicable federal statutes and regulations, as referred to elsewhere herein govern this Agreement. Any material deviation by Habitat for any reason from the requirements thereof, or from any other provision of this Agreement, shall constitute a breach of this Agreement and may be cause for termination at the election of City and Agency or upon the direction of HUD.
