Time of Essence <br />Section 5.05. Time is of the essence in this agreement <br />Notices <br />Section 5.06. Any notice, tender, delivery, or other communication pursuant to <br />this Agreement shall be in writing and shall be deemed to be properly given if <br />delivered, mailed, or sent by wire or other telegraphic communication in the <br />manner provided in this section, to the following persons: <br />(a) If to Buyer; <br />Peninsula Habitat For Humanity, Inc. <br />1010 Doyle Street, # 7 <br />Menlo Park, CA. 94025 <br />Attn: Executive Director <br />(b) If to Seller; <br />Redevelopment Agency of the City of Redwood City <br />1017 Middlefield Road <br />Redwood City, CA. 94063 <br />Attn: Housing Director <br />Either party may change that party's address for these purposes by giving written <br />Notice of the change to the other party in the manner provided in this section <br />If sent by mail, any notice, delivery, or other communication shall be effective or <br />deemed to have been given two (2) calendar days after it has been deposited in <br />the United States mail, duly registered or certified, with postage prepaid, and <br />addressed as set forth above. If sent by wire or other form of telegraphic <br />communication, any notice, delivery, or other communication shall be effective or <br />deemed to have been given eight (8) hours after it has been deposited with <br />Western Union, or other carriers, prepaid and addressed as set forth above. <br />Entire Agreement <br />Section 5.07. This Agreement and the documents which consist of (1) the <br />Agreement with Peninsula Habitat for Humanity, Inc., in Connection with Land <br />Acquisition through CDBG and HOME Funds; (2) the Agreement with Peninsula <br />Habitat for Humanity, Inc., to Construct Replacement Housing and Related <br />Capital Improvements; (3) Escrow and Disbursement Agreement, attached <br />hereto are marked Exhibits 1, A, and B, respectively, constitute the entire <br />Agreement between the parties relating to the sale of the property. Any prior <br />agreements, promises, negotiations, or representations not expressly set forth in <br />this Agreement are of no force and effect. Any amendment to this Agreement <br />shall be of no force and effect unless it is written and signed by Buyer and Seller. <br />5 <br />
