If any party hereto is obligated to incur <br /> costs in order to enforce any provisions of this Agreement, the prevailing party shall be entitled to reimbursement <br /> for all reasonable costs so incurred, including reasonable attorneys' fees and costs. <br /> 6. Termination <br /> This Agreement may be terminated by any party upon thiriy (30) days' written notice to the other party for any <br /> reason or for no reason. <br /> 7. General Terms <br /> (a) Applicable Law. This Agreement shall be governed and construed in accordance with applicable federal <br /> laws and regulations and by the laws of the jurisdiction in which the Shopping Center is located, without <br /> regard to its choice of law principles. <br /> (b) Invalidi . If any provision of this Agreement is found to be invalid or unenforceable, the validity and <br /> enforceability of the remaining provisions of this Agreement will not be affected or impaired. <br /> (c) Relationship of Parties. No "special relationship," as that term may be defined by law, is created or <br /> established between CITY and Owner, or Owner's officers, employees, or successors, or with any third <br /> party as a result of this Agreement. Further, nothing in this Agreement is intended to or shall in any <br /> manner affect or limit the privileges or immunities or other protections accarded to City or its employees <br /> under federal law or state law or other law. <br /> Neither party nor any of the party's agents, contractors or subcontractors are or shall be considered to be agents of the <br /> other in connection with the performance of any obligations under this Agreement. There are no third party beneficiaries <br /> to this Agreement. <br /> 12. Notice <br /> All notices to be given by any party to this Agreement to the other parties shall be in writing, by certified <br /> mail to the addresses indicated below in this Agreement.
