11/03/2003 Counsel and bond counsel, whose execution thereof shall be conclusive evidence of the approval of any such additions and changes. Such changes and additions shall include, without limitation, the insertion in the Indenture of the final annual maturities and final aggregate principal amount of the Bonds and the final annual interest rates payable with respect to the Bonds, as provided in the final Purchase Contract. Each of the Authorized Officers are hereby authorized and directed to execute, and the Secretary is hereby authorized and directed to attest, the final form of the Indenture for and in the name and on behalf of the Authority. The Authority hereby authorizes the delivery and performance of the Indenture. The Authority hereby finds and determines that the issuance of the Bonds and the related transactions authorized hereunder will result in significant public benefits to the citizens of the City under Section 6586(a) and (d) of the Act and that the Leased Property and the Project are and will be located entirely within the City. Section 2. Approval of Site Lease. The Authority hereby approves the lease of the Leased Property from the City pursuant to and in accordance with the Site Lease in substantially the form on file with the Secretary, together with any additions thereto or changes therein deemed necessary or advisable by the Authorized Officers, upon consultation with bond counsel, whose execution thereof shall be conclusive evidence of approval of any such additions and changes. Each of the Authorized Officers are hereby authorized and directed to execute, and the Secretary is hereby authorized and directed to attest, the final form of the Site Lease for and in the name and on behalf of the Authority. The Authority hereby authorizes the delivery and performance of the Site Lease. Section $. Approval of Lease Agreement. The Authority hereby approves the lease of the Leased Property to the City pursuant to and in accordance with the Lease Agreement in substantially the form on file with the Secretary, together with any additions thereto or changes therein deemed necessary or advisable by the Authorized Officers, upon consultation with bond counsel, whose execution thereof shall be conclusive evidence of approval of any such additions and changes. The Authority hereby approves the Escrow Agreement in substantially the form on file with the Secretary, together with any additions thereto or changes therein deemed necessary or advisable by the Authorized Officers, upon consultation with bond counsel, whose execution thereof shall be conclusive evidence of approval of any such additions and changes. Each of the Authorized Officers are hereby authorized and directed to execute, and the Secretary is hereby authorized and directed to attest, the final form of the Escrow Agreement for and in the name and on behalf of the Authority.
