DUPLICATE ORIGINAL <br /> AGREEMENT FOR PROFESSIONAL SERVICES <br /> (Finance and IT Services for SBSA) <br /> THIS AGREEMENT is made and entered into as of the day of <br /> , 2012, by and between the South Bayside System Authority <br /> ("SBSA") public tity duly organized and existing under the laws of the State of <br /> Californi , and the CITY OF REDWOOD CITY, a charter city and municipal corporation <br /> of the State of California ("Redwood City"). <br /> RECITALS <br /> A. SBSA requires the financial, information and computer technology <br /> services of Redwood City's Finance and Information Technology department. <br /> B. Redwood City has the expertise and staff available to provide these <br /> services. <br /> C. This contractual arrangement is intended to achieve an effective and <br /> efficient delivery of service to the benefit of both agencies. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. Scope of Work. SBSA retains Redwood City to perform, and Redwood City <br /> agrees to render, those financial, information and computer technology services (the <br /> "Services") that are defined in attached Exhibit "A," which is incorporated herein by <br /> reference. Services performed by City's Director of Finance hereunder will include <br /> services as Authority's Controller pursuant to the joint exercise of powers agreement <br /> establishing SBSA. The scope of work described in Exhibit "A" may be modified in <br /> writing upon mutual agreement of the parties. <br /> 2. Term. The term of this Agreement will commence on July 1, 2012 and will be <br /> effective for a period of two (2) years, expiring on June 30, 2014 unless earlier <br /> terminated by either party. The Parties may agree in writing to extend the Agreement <br /> for additional periods. <br /> 3. Compensation. The total fee payable for the Services to be performed during the <br /> initial term of this Agreement will be $112,700. <br /> (a) Financial Services. SBSA shall pay City Seventy Thousand, One <br /> Hundred and Ninety Two Dollars ($70,192) for the financial services <br /> described in Exhibit "A" during the first year of the term hereof (the "FS Base <br /> Rate"). Upon commencement of the second, and (if applicable) any <br /> successive Term Year (the "Adjustment Date"), the FS Base Rate shall be <br /> ATTY/AG R/2012.0xx 1 <br /> SBSA Finance and IT Services <br />
