2.14 "Operating System Software" means that software which operates and supports the hardware elements of a co, mputer <br /> System, as designated by Computervision. <br /> 2.15 "Preventive Maintenance" means cleaning, inspection and adjustment procedures designed to reduce product failure and ex- <br /> tend useful Product life as defined by Computervision. <br /> 2,16 "Computervision" means Computervision Corporation with its principal place of business at 100 Crosby Drive, Bedford, <br /> Massachusetts. <br /> 2.17 "Product(s)" collectively means Equipment and Software which are identified on the Product Schedule. <br /> 2.18 "Product Schedule" means Computervision's standard quotation and order documents, under which Customer orders <br /> Maintenance Services which shall be executed by both parties, and which incorporates as an integral part a document titled <br /> Product Schedule. Such documents shall contain, among other information, a list of the Products, applicable Support <br /> Code(s), fees, quantity of Products to be maintained, and the Customer installation site. <br /> 2.19 "Remedial Maintenance" means maintenance performed by Computervision in order to return the Products to good operat- <br /> lng condition. <br /> 2.20 "Service Agreement" means the terms and conditions specified in this Master Service Agreement in conjunction with the <br /> Product Schedule executed by both parties under which Customer orders and Computervision provides Maintenance Service. <br /> 2.21 "Service Center" means a Computervision facility which provides Maintenance Service to Customers. <br /> 2.22 "Service Code" means one of the following symbols which designates on the Product Schedule the Service Offering ordered <br /> by Customer for each particular Product: <br /> <br /> Symbol Service Offering <br /> PPS Section II, Premium Plus Service <br /> PHS Section III, Premium Service <br /> PRF Section IV, Preferred Service <br /> BHS Section V, Basic Service <br /> DEF Section Vi, Deferred Service <br /> CAH Section VII, Customer Assisted Service <br /> MIS Section VIII, Mail In Service <br /> PSS Section iX, Preferred Software Service <br /> BSS Section X, Basic Software Service <br /> LUS Section Xl, License Update Service for Software <br /> MLFOP1 Section Xll, MLF Option1 Service for Monthly License Fee Software <br /> <br /> 2.23 "Service Hours" means those hours and days, which comprise the time periods in which Computervision provides service on <br /> Products for each particular Service Offering. <br /> 2.24 "Service Offering" means one of the maintenance services that Computervision offers as established in Sections II through <br /> Xll of this Agreement. Later Addenda to this Master Service Agreement may designate and describe additional service offer- <br /> ings. <br /> 2.25 "Software Products" means the standard computer software programs other than Operating System Software which are des- <br /> ignated by Computervision to be eligible for service hereunder and are listed on the Product Schedule. <br /> 2.26 "Software" means Software Products and Operating System Software collectively and individually. <br /> 2.27 "Support Code" means a symbol listed on the Product Schedule which designates the means by which Product support will <br /> be provided to Customer, either on a Monthly License Fee (MLF) Basis, or under a Service Offering, in which case the Support <br /> Code will be a Service Code as specified hereunder. <br /> 2.28 "System" means a configuration of hardware and software products which generally includes a processor unit, memory, first <br /> disk drive, controller, and all main cabinet components listed on the applicable Product Schedule which Computervision des- <br /> ignates with a single Model Number. <br /> <br />3. TERM OF COVERAGE: <br /> <br /> 3.1 This Agreement shall be effective on the date both parties have signed the Agreement and shall remain in effect until either <br /> party terminates this Agreement upon at least ninety (90) days prior written notice to the other party. <br /> <br /> 3.2 Except as provided in section 3.4 below, each Service Agreement will have an Initial Term. It shall continue in effect thereafter <br /> unless either party gives ninety (90) days prior written notice of termination or the Service Agreement is otherwise terminated <br /> in accordance with the provisions hereof. <br /> <br /> After the Initial Term, either Computervision or Customer may withdraw any individual Product from any Service Agreement <br /> upon ninety (90) days written notice. <br /> <br /> 3.3 Termination of this Agreement will not terminate the Service Agreements in effect on the date of such termination. Such <br /> Service Agreements shall continue in effect in accordance with the terms and conditions of this Agreement until terminated <br /> by either party as specified hereunder. <br /> <br /> 3.4 Any Service Agreement which replaces a prior form of maintenance service agreement for the Products covered by such <br /> Service Agreement shall have a term that is coterminous with the term of such prior maintenance service agreement.
