ORIC;IIV��L <br /> REVOCABLE LICENSE AGREEMENT <br /> BETWEEN THE CITY OF REDWOOD CITY AND <br /> WEST COAST FARMERS MARKET ASSOCIATION <br /> FOR A CERTIFIED FARMERS MARKET IN THE PARKING LOT AT THE <br /> REDWOOD SHORES BRANCH LIBRARY <br /> THIS REVOCABLE LICENSE AGREEMENT ("Agreement") is made and entered <br /> into as of June 18, 2012 ("Effective Date"), by and between the CITY OF REDWOOD <br /> CITY (hereinafter "City"), a California charter city and municipal corporation, and R. <br /> Jerry Lami, an individual doing business as West Coast Farmers Market Association <br /> (hereinafter "Licensee"). <br /> RECITALS <br /> A. West Coast Farmers Market Association exists for the purpose of developing, <br /> organizing, operating and managing "Certified Farmers' Markets" (as such term is <br /> defined in Section 27512 of the California Health and Safety Code and Article 6.5, <br /> Title 3 of the California Administrative Code). <br /> B. Licensee desires to organize, operate, maintain and manage a Certified <br /> Farmers' Market in City on property owned and maintained by City for the benefit of and <br /> use by members of the general public. <br /> C. City desires to allow such use by Licensee, provided that it is a Certified <br /> Farmers' Market and the public health, safety and welfare are not thereby impinged, <br /> diminished or adversely affected. <br /> NOW, THEREFORE, in consideration of the recitals and mutual obligations <br /> contained herein, City and Licensee agree as follows: <br /> 1. Nature of Aareement. The nature of the right granted by City to Licensee is <br /> that of a revocable license and not a permit nor a lease. No property right is granted <br /> hereby; nofinrithstanding the foregoing, Licensee hereby knowingly waives and relin- <br /> quishes any rights it may have or claim to have pursuant to California Government <br /> Code Sections 7260 through 7277. <br /> 2. License Area. The real property permitted to be used under this Agreement <br /> is a portion ("Farmers' Market Area") of that certain property located at 399 Marine <br /> Parkway, Redwood City, California ("City Property"). The City Property and Farmers' <br /> Market Area are more particularly described in Exhibit "A-1", attached hereto and <br /> incorporated herein by reference. Licensee's use of the Farmers' Market Area shall be <br /> in accordance with the Site Plan, attached hereto as Exhibit "A-2" and incorporated <br /> herein by reference. Licensee shall not modify the Site Plan without obtaining prior <br /> written approval from the City Manager, and shall not expand the Farmers' Market Area <br /> to accommodate additional vendors without obtaining prior written approval from the <br /> ATTY/AGR/2012.077/FARMERS MARKET REVOCABLE LICENSE AGREEMENT <br /> REV:06-22-12 VR <br /> Page 1 of 74 <br />
