ORIC;IIV��L REVOCABLE LICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD CITY AND WEST COAST FARMERS MARKET ASSOCIATION FOR A CERTIFIED FARMERS MARKET IN THE PARKING LOT AT THE REDWOOD SHORES BRANCH LIBRARY THIS REVOCABLE LICENSE AGREEMENT ("Agreement") is made and entered into as of June 18, 2012 ("Effective Date"), by and between the CITY OF REDWOOD CITY (hereinafter "City"), a California charter city and municipal corporation, and R. Jerry Lami, an individual doing business as West Coast Farmers Market Association (hereinafter "Licensee"). RECITALS A. West Coast Farmers Market Association exists for the purpose of developing, organizing, operating and managing "Certified Farmers' Markets" (as such term is defined in Section 27512 of the California Health and Safety Code and Article 6.5, Title 3 of the California Administrative Code). B. Licensee desires to organize, operate, maintain and manage a Certified Farmers' Market in City on property owned and maintained by City for the benefit of and use by members of the general public. C. City desires to allow such use by Licensee, provided that it is a Certified Farmers' Market and the public health, safety and welfare are not thereby impinged, diminished or adversely affected. NOW, THEREFORE, in consideration of the recitals and mutual obligations contained herein, City and Licensee agree as follows: 1. Nature of Aareement. The nature of the right granted by City to Licensee is that of a revocable license and not a permit nor a lease. No property right is granted hereby; nofinrithstanding the foregoing, Licensee hereby knowingly waives and relin- quishes any rights it may have or claim to have pursuant to California Government Code Sections 7260 through 7277. 2. License Area. The real property permitted to be used under this Agreement is a portion ("Farmers' Market Area") of that certain property located at 399 Marine Parkway, Redwood City, California ("City Property"). The City Property and Farmers' Market Area are more particularly described in Exhibit "A-1", attached hereto and incorporated herein by reference. Licensee's use of the Farmers' Market Area shall be in accordance with the Site Plan, attached hereto as Exhibit "A-2" and incorporated herein by reference. Licensee shall not modify the Site Plan without obtaining prior written approval from the City Manager, and shall not expand the Farmers' Market Area to accommodate additional vendors without obtaining prior written approval from the ATTY/AGR/2012.077/FARMERS MARKET REVOCABLE LICENSE AGREEMENT REV:06-22-12 VR Page 1 of 74
