� �RiCIN�,� <br /> AMENDMENT NO. 2 TO EXTEND AND AMEND AGREEMENT FOR <br /> PROFESSIONAL SERVICES <br /> (TRA Environmental Sciences, Inc.) <br /> This Amendment No. 2 is entered into and effective as of the � day of <br /> _ U,.� � , 2015, extending and amending the agreement dated June <br /> 28, 2012 by and befinreen the City of Redwood City, a charter city and municipal <br /> corporation of the State of California ("City"), and TRA Environmental Sciences Inc., <br /> which is now known as MIG�TRA Environmental Sciences Inc., ("Consultant") <br /> (collectively, the "Parties") for the preparation of the California Potable Water Tank, <br /> Pump Station, and Pipeline Project Environmental Impact Report (EIR) and the <br /> completion of the CEQA process. <br /> RECITALS <br /> A. On June 28, 2012, the Parties executed a Professional Services <br /> Agreement (the "Original AgreemenY'); and <br /> B. On July 27, 2014, the Parties executed an Amendment No. 1 to the <br /> Professional Services Agreement ("Amendment No. 1")(the Original Agreement and <br /> Amendment No. 1 are collectively referred to herein as the "Agreement"); and <br /> B. The Parties have negotiated and agreed to additional amendments <br /> attached to and incorporated in by reference as Exhibit "A," Scope c�f Services and Fee. <br /> NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br /> contained herein, the Parties agree as follows: <br /> 1. In addition to those services contained in the Agreement, Consultant will <br /> provide those services described in Exhibit "A." With this Amendment No. 2, the total <br /> Agreement amount shall not exceed Two Hundred Eight Thousand Eight Hundred and <br /> Sixty Seven Dollars ($208,867.00). <br /> 2. City will pay Consultant for all work associated with those services <br /> described in Exhibit "A" on a time and materials basis not-to-exceed Eighteen Thousand <br /> _ Five Hundred Eighty Seven Dollars ($18,587.00), for an aggregate amount of Two <br /> Hundred Eight Thousand Eight Hundred and Sixty Seven Dollars ($208,867.00). <br /> Consultant will provide City, on a monthly basis, copies of invoices sufficiently detailed <br /> to include hours performed, hourly rates, and related activities and costs for approval by <br /> City. <br /> 3. Consultant will complete all work described in Exhibit "A" by December 31, <br /> 2015. <br /> 4.
