�. 20 <br />Agency Agency and approved thereby in advance of any such sale. A breach <br />of any covenant contained in this section shall be deemed, at the <br />Agency's sole option, an Event of Default (as defined in section 20 <br />hereof). <br />Section 10. Notice of Sales and Transfers. In <br />addition to the foregoing, and for the term of this Agreement, the <br />Participating Owner agrees to notify the City and the Agency in <br />writing of any sales or transfers of any portion of the Property or <br />the Project prior to the consummation of such sale and /or transfer, <br />which notice shall contain the name, address and formal description <br />of the entity so acquiring interests in the Project or the <br />Property. A breach of any covenant contained in this section shall <br />be deemed, at the City's or the Agency's sole option, an Event of <br />Default. <br />Section 11. Wages and Compliance with Federal and <br />State Laws. The Participating Owner shall comply with any <br />applicable labor regulations and all other Federal and State Laws <br />in connection with the construction of the improvements and the <br />private improvements which comprise the Project. Specifically, and <br />without limiting the scope of the foregoing sentence, the <br />Participating Owner agrees that it will pay, and /or cause all of <br />its general contractors or subcontractors to pay, prevailing wages <br />as determined in accordance with the adopted policies of the City <br />and the Agency and with Federal and State law in connection with <br />all work necessary to complete the Project. With regard to Federal <br />Laws and regulations, the Participating Owner shall comply with <br />following as set forth in Subpart K, (Sec. 570.600 -612), Code of <br />Federal Regulations (September 6, 1988): <br />a. Public Law 88 -352, Title VI of the Civil Rights Act <br />of 1964, which provides that no person in the United States shall <br />be excluded from participation in, be denied the benefits of, or <br />be subjected to discrimination under any program or activity <br />receiving Federal financial assistance, including community <br />development funds, on the grounds of race, color, or national <br />origin. <br />b. Public Law 90 -284, Fair Housing Act (42 U.S.C. 3601- <br />20), which provides that it is the policy of the United States to <br />provide, within constitutional limitations, fair housing throughout <br />the United States and prohibits any person from discriminating in <br />the sale, rental, or financing of housing on the basis of race, <br />color, religion, sex, national origin, disabilities or familial <br />11 <br />
