�. 20 Agency Agency and approved thereby in advance of any such sale. A breach of any covenant contained in this section shall be deemed, at the Agency's sole option, an Event of Default (as defined in section 20 hereof). Section 10. Notice of Sales and Transfers. In addition to the foregoing, and for the term of this Agreement, the Participating Owner agrees to notify the City and the Agency in writing of any sales or transfers of any portion of the Property or the Project prior to the consummation of such sale and /or transfer, which notice shall contain the name, address and formal description of the entity so acquiring interests in the Project or the Property. A breach of any covenant contained in this section shall be deemed, at the City's or the Agency's sole option, an Event of Default. Section 11. Wages and Compliance with Federal and State Laws. The Participating Owner shall comply with any applicable labor regulations and all other Federal and State Laws in connection with the construction of the improvements and the private improvements which comprise the Project. Specifically, and without limiting the scope of the foregoing sentence, the Participating Owner agrees that it will pay, and /or cause all of its general contractors or subcontractors to pay, prevailing wages as determined in accordance with the adopted policies of the City and the Agency and with Federal and State law in connection with all work necessary to complete the Project. With regard to Federal Laws and regulations, the Participating Owner shall comply with following as set forth in Subpart K, (Sec. 570.600 -612), Code of Federal Regulations (September 6, 1988): a. Public Law 88 -352, Title VI of the Civil Rights Act of 1964, which provides that no person in the United States shall be excluded from participation in, be denied the benefits of, or be subjected to discrimination under any program or activity receiving Federal financial assistance, including community development funds, on the grounds of race, color, or national origin. b. Public Law 90 -284, Fair Housing Act (42 U.S.C. 3601- 20), which provides that it is the policy of the United States to provide, within constitutional limitations, fair housing throughout the United States and prohibits any person from discriminating in the sale, rental, or financing of housing on the basis of race, color, religion, sex, national origin, disabilities or familial 11
