F. Caltrans District 4 ("Caltrans"), who shall have full access to the Project equipment throughout the Project limits but is not a signatory to this Agreement, shall enter into a separate agreement with C/CAG for the construction of portions of the Project on State right of way and the maintenance and operations of the Project (the "C/CAG-Caltrans AgreemenY'). G. The COLTNTY shall enter into a separate agreement with C/CAG with regard to the construction of portions of the Project on local arterials (the "C/CAG-COUNTY AgreemenY'). AGREEMENT The parties hereto agree as follows: 1. Conditions Precedent to Effectiveness of Agreement This Agreement shall become effective and binding upon the parties only if and once the GCAG-Caltrans Agreement and the GCAG-COLTNTY Agreement are entered into. 2. Equipment A. New Equipment: The COUNTY shall install the following equipment and components of the new Intelligent Transportation System(ITS)the Project elements("New EquipmenY'): 1) Directional signs(trailblazers and other); 2) Fixed or pan-tilt-zoom(PTZ)closed-circuit television cameras(CCTV); 3) Communications infrastructure(conduit, fiber,twisted wire copper,pull boxes, splice enclosures,wireless, soflware, and associated equipment); 4) Arterial changeable message signs (Arterial Dynamic Message Signs— ADMS); 5) Vehicle detection systems; 6) Center-to-center communications equipment between San Mateo County Hub (SMCHub)and District 4 Traffic Management Center(D4TMC);and 7) Power supply line and equipment. B. Upgraded Equipment. The COUNTY may upgrade the following equipment to the satisfaction of Redwood City, if necessary, to meet the operational needs of the Project ("Upgraded Equipment"): traffic signal controllers, cabinets, signal interconnect equipment, and signal operating software systems.
