Project traffic signals and Intelligent Transportation System (ITS) equipment during <br /> Major Traffic Incidents. <br /> C. CITY shall have the rights to view full system CCTV camera images, during both Daily <br /> Operations and during Major Traffic Incidents. During Daily Operations both CITY and <br /> Caltrans may control PTZ(s)with priority given to the owning jurisdiction. <br /> D. CITY shall have access to view full system vehicle detection data, during both Daily <br /> Operations and during Major Traffic Incidents. Control of the vehicle detection system <br /> shall remain with Caltrans. A framework to establish priority, rules, and defaults may be <br /> developed as City deems necessary in a separate agreement between City and Caltrans. <br /> E. CITY, in its sole and absolute discretion, may opt to negotiate with Caltrans for any <br /> shared control of the directional signs during Daily Operations. <br /> F. CITY shall relinquish all control of signals, PTZ cameras, and directional signs to <br /> Caltrans during incidents. If Caltrans is unable to assume control of these systems due to <br /> technical reasons, control shall remain with CITY. <br /> G. Additional agreements between CITY and Caltrans and possibly other cities, may be <br /> developed as needed for operating the Project equipment located in the CITY limits <br /> during major traffic incidents. <br /> 5. Maintenance <br /> A. Upon CITY's acceptance thereof, CITY shall maintain the Upgraded Equipment located <br /> within CITY's right-of-way at CITY's expense. <br /> B. CITY shall assume the associated electrical costs of the Project equipment (New and <br /> Upgraded) located within CITY's right-of-way. <br /> C. Except for communication lines, C/CAG shall maintain the New Equipment for the Term <br /> of this Agreement. Except for communication lines, CITY shall not maintain New <br /> Equipment for the Term of this Agreement. If the New Equipment becomes obsolete or <br /> no longer in use, C/CAG shall, at its own expense, remove such New Equipment from the <br /> CITY's right-of-way. <br /> D. CITY shall address graffiti removal on the Project equipment located within CITY's <br /> right-of-way pursuant to its Municipal Code. <br /> E. C/CAG agrees to obtain a maintenance contractor that specializes in ITS equipment. <br /> C/CAG and/or its maintenance contractor shall obtain an encroachment permit from the <br /> CITY for work within the CITY's right-of-way. <br /> F. C/CAG or its assignee, shall serve as lead agency to administer the maintenance service <br /> contract and/or to oversee administration of the maintenance service contract for its <br /> Project equipment maintenance responsibility. <br /> ATTY/AGR/2012.025/SMART CORRIDORS CCAG <br /> REV:03-15-12 VR <br /> Page 4 of 7 <br />
