Worke� Compensatian limits, if appiicable, will be set at those lirnits required by the Califomia Labor Code. Consultant will obtain occurrence caverage, excluding Prvfessional Liabiiity, which wiii be wmtten as claims-rr►ade coverage. The insurance uviA be in force durir�g the life af this Agreement and will not be canc�ied without thirty (30) days prior wntten notice t� the City by certified mail. City, its offic�rs, �gents, va4untesrs and errtployees will be named as additianal insureds an General and Automobite liability. Cansultant's insurance caverage wilt be pr�mary insurance with respect to City, its o�icers, agents, volunteers and emplc�yees. Any insurance ar self-insur�nce maintained by the City will be in sxcess of Consuttant's insurance and not cantributory with it. Consultant will fumish eertificates of insurance and endorsem�ents t�City prior ta Gity's execution of this Agreemenk. 7. Business License. Gonsultant will abtain and maintain a City of Redwood City Business License for the term af the Agre�ment, as may be amended frtrm tirne-to-time. $, �onflict af Interest. City will evaluate Gonsultant's duties pursuant to this Agreement to determine whether disclosure under the Political Reform Act and City"s Conflict of Interest Code is requir�;d of Consultant ar any af Cansultant's employees, agents or subcontractors. Shauld it be determined that disctosure is required, Consultant or Consultant's employees, agents, ot subcontractors wiq complete and file with the City Clerk thase schedules specifie�d by City and contained in the Staiement of Economic Interests Form 700. 9. Gomoliar,�g With Laws. Cansultant will comply with all a�plicable lo�l, state and feder�l laws and �egulations prc�hlbiting disc�imination and harassment and wi11 obtain and maintain a City of Redwoad City Susiness License far the term of this Agreement. 10. 1'erminati�n. Ci#y crr Gon�uEtant may terrninate this Agreemer�t at any tirne after a discussir�n, and written no�ice�o the other party. Gity will pay Consultant's costs#or Services complet�ed up to the time of termirtation, if the Services have been completed in accordance with the Agreement. 11. Claims and Lawsuits. Sy signing this Rgresment, Consultant agrees it may be subject to civil penalties for the filing of false elaims as set forth in the California False Claims Act, Govemment Code sections 12650, et seq. Gansuttant further acknowledges tha# disbarment by another jurisdictian is grounds far City to#erminate tliis Agreement. 12. Venue and Jurisdiction. Cansultant agrees and stipulates that the proper venue and jurisdicction for resalution af any disputes between the parties arising out of this Agreement is the Superiar Court, San Mateo County, Galifamia. 13. Assipnment. Cc�nsultant may nat assign this Agr�ement ar any part of it, or any monies due or to be�me due ur�der it, without the p�ior wriften consertt of City, 14. Amendments. ThES Agreement may be amended by mutual consent af City and Consultant. Any amendment w�ll be in writing, signed by both parties, with a statement of tha changes in charges or time schedule. 15. Entire Agreerr►ent. This Agreement, togeth+er with any oth�r written document refe�red to or cont�mpla#ed by it, along with the purchase order for this Agreement and its ptt�visions, embady the entire Agreement and understanding between the pa�ties relati�g to the subjec# matter of it. In case of canflict, the terms of the Agreement super�ede the purcnase order and any Qther attachment or exhibit.
