Reporring Requirements: <br /> Silicon Valley Community Foundation requires reporting at specified dates. Please note that future grant <br /> requests will not be considered if a grantee has failed to sub±nit a required report. All grant report forms can <br /> be found on our website at the following URL: <br /> http://www.siliconvalleycf.org/content/grantmal�ng-strategies <br /> Interun Report Due: December 14,2012 <br /> Final Report Due:June 3,2013 <br /> However,if grant funds are expended at a rapid pace early in the grant period (for example,if the grant <br /> supports food vouchers and your organization distributes the supply of food vouchers in two months),we <br /> ask that you complete your grant report(s) no more than 30 days after the funds have been expended. <br /> Payment Schedule: <br /> This grant will be paid in two installments. All payments outlined in this grant agreement are subject to <br /> available assets at Silicon Valley Communiry Foundation. <br /> Payment 1: Upon receipt of signed grant agreement <br /> Payment 2: December 28,2012 <br /> Acknowledgement of Grant Support: <br /> Acknowledge Silicon Valley Community Foundation's su��port of your program in print and electronic <br /> publications such as newsletters,program activity announcements,your website and in all media coverage. <br /> Use the following wording: "This project has been made possible in part by a grant from the Immigrant <br /> Integration Fund grantmaking strategy of Silicon Valley Community Foundation." <br /> Intellectual Property: <br /> By signing below,City of Redwood City and Silicon Valley Community Foundation agree that all copyright <br /> and other interests in materials produced as a result of this grant s�all be owned by the grantee organization. <br /> To ensure the widest possible distribution of such materials and ensure that they enter and remain in the <br /> public domain,the grantee organization and any individuals who may have some interest hexeby grant to the <br /> Foundation a non-exclusive, transferable,perpetual,irrevocable,royalty-free,paid-up worldwide license to use <br /> or publish the materials or other work products arising out of nr resulting from Grantee's use of the grant <br /> funds and any earnings thereon,including all intellectual properry rights,and to sublicense to third parties the <br /> rights described herein. Grantee, at Foundation's request, agrees to execute any additional documents <br /> required to effect such license. <br /> Hold Harmless <br /> Grantee hereby irrevocably and unconditionally agrees, to the fullest extent permitted by law, to defend, <br /> indemnify and hold harmless the community foundation,its officer.s, directo�•s, trustees, employees, and <br /> agents from and against any and all claims, liabilities,losses and expcnses (including reasonable attorney's <br /> fees) directly,indirectly,wholly or parrially arising from or in connec�on with the grant, the applicarion of <br /> funds furnished pursuant to the grant, the program or project funded or financed by the grant or in any way <br /> relating to the subject of this Agreement.This paragraph shall survive the termination of this Agreement. <br /> Grant#:2012-98426(4537) <br />
