• Exhibit C • LICENSE AGREEMENT THIS LICENSE AGREEMENT(this"Agreement")is entered into as of this 24th day of June,2009(the"Effective Date"),by and between THE CITY OF REDWOOD CITY,a charter ity and municipal corporation of the State of California(the"City"), and BAIR ISLAND AQUATIC CENTER,INC.,a California non-profit corporation ("BIAC"). RECITALS A. The City is the fee owner of that certain real property located in the City of Redwood City,California,which is described more specifically on gambit A to this Agreement(the"Property"). B. The City and BIAC are parties to a separate lease agreement(the "Lease"),pursuant to which BIAC lease from the City certain property commonly known as 1450 Maple Street,Redwood City, California,which BIAC uses in the operation of an aquatic center(the"Aquatic Center"). C. BIAC desires to use a portion of the Property to store trailers and certain other equipment used in connection with the Aquatic Center. NOW,THEREFORE,the parties agree as follows: AGREEMENT 1. Grant of License:License Area. For good and valuable consideration, receipt of which is hereby acknowledged,starting on July 1,2009(the"Commencement Date"),the City grants to BIAC a non-exclusive,personal and revocable license to enter the License Area(defined below)for the express and limited purpose of conducting the Activities as defined below in Section 4(the"License"). The License Area is described on Exhibit B attached to this Agreement. 2. License Fee. As consideration for the grant of the License,BIAC shall pay the City a license fee in the amount of$750.00 per month(the"License Fee"). Each monthly installment of the License Fee shall be payable in advance,on or before the first day of each month during the term of the License. License Fees for any period during the term hereof which is for less than one month shall be a pro rata portion of the monthly installment. License fees shall be payable to the City at the address set forth in Section 19 below or at such other address as the City may from time to time designate in writing. 3. Acknowledgments by BIAC. BIAC acknowledges that BIAC has no right,title,or interest in or to any portion of the Property,including,without limitation, the License Area,other than the License specifically granted by the terms of this Agreement. The License is personal to BIAC and cannot be assigned,transferred,or otherwise conveyed by BIAC or by operation of law. BIAC License 6.1 I.09 v3 1 Page 17 of 31 ,/n
