Assi -ng m�v Develo�er. Developer may assign its obligations under this Agreement only with the prior written approval of the City, which consent shall not ba unraasonably withheld or delayed. Developer's request to assign the Agreement to a developar witti experience and fmancial capability which is substantially similar to Developer's shall be deemed to be reasonable. In connection with any such assignment, Developer and its assignee sha11 execute and deliver to City a written assignment and assumption agreement a•ecorded against the Property in a form to be agreed upon between Developer and City, which shall among other things release Developer of its obligations under this Agreement after the date of the assignment. 32. Severabilitv. Entire A r�eement. The terms and conditions of this Agreement constitute tha entire agreernent between City and DBValoper with respact to the matters addressed in this Agreemant. This Agreement may not be altared,amended or modified withou�t the written consent of a11 partias hereto. 36. Govei�nin�Law;Venue. This Agreement shall be consfrued and enforced in accordance with the laws of the State of California,without reference to choice of law provisions. Any legal actions under this Agreement shatl be brought only in the Superior Court of the County of San Mateo, State of . California.
