(iii) Binds each party to this Agreement and each successive owner during <br /> its ownership of those properties or any portion, and each person having an interest in <br /> those properties derived in any manner through any owner of those properties, or any <br /> portion, and benefits each party and its property hereunder, and every other person <br /> succeeding to an interest in those properties. <br /> (fl In the event of a partial transfer of the property, City and Pacific Shores <br /> shall cooperate to determine whether or not allocation of rights and responsibilities among <br /> owners of the Property, would best be clarified or resolved by execution of amendments to <br /> this Agreement or of new agreements in full or partial replacement of this Agreement and <br /> each agrees to execute the same without imposition of new duties on either party so as to <br /> fulfill the purposes of this Agreement. <br /> 30. Assignment, Successors. Nothing in this Agreement prevents Pacific Shores <br /> from conveying all or a part of, its interest in the Property to a buyer, assignee, or other <br /> nominee as Pacific Shores may elect. This Agreement is binding upon and inures to the <br /> benefit of the respective assigns, heirs, successors and legal representatives of the parties. <br /> 31. Notices. <br /> (a) All notices, demands and requests under this Agreement that may be <br /> given or made by any party to the other parties must be in writing. <br /> (b) All notices, demands and requests to Pacific Shores must be deposited <br /> with the United States Postal Service, first class postage pre-paid or with an overnight <br /> messenger or courier, addressed to Pacific Shores as follows: <br /> Pacific Shores Limited Partnership <br /> 399 Bradford Street, Suite 100 <br /> Redwood City CA 94063 <br /> Attention: K.
