7. Lathrop Property- License Agreement Attachment 1 08/23/2012 Exhibit A LICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD CITY AND HERRERO CONTRACTORS, INC. THIS LICENSE AGREEMENT ("Agreement") is entered into as day of , 2012 (the "Effective Date"), by and between THE CITY OF REDWOOD CITY, a charter city and municipal corporation of the State of California ("CITY"), and HERRERO CONTRACTORS, INC., a California corporation ("LICENSEE"). RECITALS A. CITY owns real property consisting of a triangular-shaped parcel located between Maple and Lathrop Streets, adjacent to the Redwood Creek Culvert in Redwood City, California, as more particularly described in Exhibit"A" attached hereto and incorporated herein by reference ("City Property"). B. CITY acquired the City Property from the Redwood City Redevelopment Agency on or about March 7, 2011, for the purpose of continuing the redevelopment of the City Property. C. CITY does not currently use the Property for any particular purpose. D. LICENSEE is the general contractor for the Lathrop PARC construction project, a 114- bed post-acute recovery center, located at 134 Maple Street, Redwood City, California. E. During construction of the Lathrop PARC project, LICENSEE desires to use the City Property for construction worker vehicle parking. F. The City Property is currently under a license agreement with Irvine Apartment Communities ("Irvine") wherein Irvine maintains the City Property's landscaping, irrigation and other improvements and uses the City Property as community open space Monday through Saturday evenings after 6:00 p.m. and all day Sunday. G. CITY is willing to provide to LICENSEE a license to use the City Property for construction worker vehicle parking purposes during construction of the Lathrop PARC construction project, all on the terms set forth herein. AGREEMENT NOW, THEREFORE, the parties agree as follows: 1. Grant of License. For good and valuable consideration, receipt of which is hereby acknowledged, starting on September 15, 2012 (the "Commencement Date"), CITY confers to LICENSEE a revocable, personal, non-exclusive and non-possessory privilege to enter upon and u se the City Property for the limited purpose and subj ect to the terms, conditions and restrictions set forth below. This Agreement gives LICENSEE a license only and notwithstanding anything to the contrary herein, this License does not constitute a grant by CITY of any ownership, leasehold, easement or other property interest or estate whatsoever in the ATTY/AGR/2012.096/LATHROP PARC LICENSE AGREEMENT REV:07-17-12 VR Page 1 of 12 OB RESO #12-03
