Lathrop Property- License Agreement Attachment 1 <br /> 08/23/2012 <br /> Exhibit A <br /> LICENSE AGREEMENT BETWEEN THE CITY OF REDWOOD CITY <br /> AND <br /> HERRERO CONTRACTORS, INC. <br /> THIS LICENSE AGREEMENT ("Agreement") is entered into as day of <br /> , 2012 (the "Effective Date"), by and between THE CITY OF REDWOOD <br /> CITY, a charter city and municipal corporation of the State of California ("CITY"), and <br /> HERRERO CONTRACTORS, INC., a California corporation ("LICENSEE"). <br /> RECITALS <br /> A. CITY owns real property consisting of a triangular-shaped parcel located between Maple <br /> and Lathrop Streets, adjacent to the Redwood Creek Culvert in Redwood City, <br /> California, as more particularly described in Exhibit"A" attached hereto and incorporated <br /> herein by reference ("City Property"). <br /> B. CITY acquired the City Property from the Redwood City Redevelopment Agency on or <br /> about March 7, 2011, for the purpose of continuing the redevelopment of the City <br /> Property. <br /> C. CITY does not currently use the Property for any particular purpose. <br /> D. LICENSEE is the general contractor for the Lathrop PARC construction project, a 114- <br /> bed post-acute recovery center, located at 134 Maple Street, Redwood City, California. <br /> E. During construction of the Lathrop PARC project, LICENSEE desires to use the City <br /> Property for construction worker vehicle parking. <br /> F. The City Property is currently under a license agreement with Irvine Apartment <br /> Communities ("Irvine") wherein Irvine maintains the City Property's landscaping, <br /> irrigation and other improvements and uses the City Property as community open space <br /> Monday through Saturday evenings after 6:00 p.m. and all day Sunday. <br /> G. CITY is willing to provide to LICENSEE a license to use the City Property for <br /> construction worker vehicle parking purposes during construction of the Lathrop PARC <br /> construction project, all on the terms set forth herein. <br /> AGREEMENT <br /> NOW, THEREFORE, the parties agree as follows: <br /> 1. Grant of License. For good and valuable consideration, receipt of which is <br /> hereby acknowledged, starting on September 15, 2012 (the "Commencement Date"), CITY <br /> confers to LICENSEE a revocable, personal, non-exclusive and non-possessory privilege to <br /> enter upon and u se the City Property for the limited purpose and subj ect to the terms, conditions <br /> and restrictions set forth below. This Agreement gives LICENSEE a license only and <br /> notwithstanding anything to the contrary herein, this License does not constitute a grant by CITY <br /> of any ownership, leasehold, easement or other property interest or estate whatsoever in the <br /> ATTY/AGR/2012.096/LATHROP PARC LICENSE AGREEMENT <br /> REV:07-17-12 VR <br /> Page 1 of 12 <br /> OB RESO #12-03 <br />
