6.1.C. - Page 5 <br /> City of Redwood City <br /> Public Works Senrices Department <br /> work. Prior to providing the three day notice of use, the City shall conduct a preliminary visit <br /> to the Property to determine what access is necessary to perForm the Work. City's notice of <br /> use shall inform Owner of the necessary access and entry for the Work. <br /> 7. Term. The term of this Agreement shall commence on the Date first written <br /> herein above and shall be renewed annually thereafter for 2� maximum period of ten years, <br /> unless either party delivers written notice of cancellation no later than one hundred eighty <br /> (180) days after commencement of Work each year, in which event this Agreement shall <br /> terminate and be of no further force or effect, unless an amended or extended agreement <br /> has been executed by both parties hereto before the commencement of any further Work <br /> by CITY. Notwithstanding the foregoing, CITY shall be entitled to access and enter upon <br /> the Property only once each year for not more than ten (10) consecutive business days <br /> each year to perform the annual maintenance as described in Exhibit B, unless OWNER <br /> agrees in writing that additional work is required, setting forth the allowed time for such <br /> extended access <br /> 8. Insurance. In the event CITY does not perform all necessary Work with its <br /> own employees and staff, before any outside contractor or its employees may access the <br /> Property or perform any Work on the Property, City's contractor for any such Work <br /> ("Contractor") shall name OWNER as an additional insured party under its commercial <br /> general liability policy and shall deliver a certificate of insurance to OWNER evidencing <br /> coverage of not less than $2,000,000 to OWNER for general liability. <br /> 9. Indemnitv. City and its Contractor, if one is used by City, in its agreement <br /> with the Contractor, shall indemnify, hold harmless, and defend OWNER and its officials, <br /> officers, employees, and agents, from and against every claim or demand made and every <br /> liability, loss, damage, or expense of any nature whatsoever and all costs or expenses <br /> incurred in connection therewith, including claims for property damage, bodily injury or <br /> death, together with any and all reasonably necessary attorneys' fees and costs, which <br /> arise out of the performance of the Project Work by City and/or its Contractor or its agents, <br /> employees, independent contractors, or subcontractors, except to the extent caused by the <br /> sole gross negligence or willful misconduct of OWNER or OWNER's tenants, officials, <br /> officers, employees or agents. <br /> 10. Riqhts Limited. This Agreement is intended and shall be construed only as a <br /> temporary right and license to annually enter and perForm the Work on the Property <br /> described herein and not as the grant of any interest in the Property to the City. <br /> 1 l. Binding Effsct. This Agreement shall be binding upon the parties hereto and <br /> their respective successors, representatives, heirs and assigns. <br /> 12. Modification.
