09/10/2012 BY LAWS OF THE SUCCESSOR AGENCY TO THE REDWOOD CITY REDEVELOPMENT AGENCY ARTICLE I —THE AGENCY Section 1. Name of Aqencv. The name of the Agency shall be the "Successor Agency to the Redwood City Redevelopment Agency". Section 2. Office of Aqencv. The office of the Successor Agency shall be at City Hall, 1017 Middlefield Road, Redwood City, California, or at such place in the City of Redwood City, California as the Agency may from time to time designate by resolution. Section 3. Membership of Aqencv. Pursuant to the provisions of Part 1.85 of the Health and Safety Code, the City Council of the City of Redwood City shall be designated as the Governing Board of the Successor Agency. The City Council shall serve as the Governing Board without additional compensation. ARTICLE II — OFFICERS Section 1. Officers. The officers of the Agency shall be a chairperson, a vice- chairperson, a secretary, an executive director and a treasurer. Such other officers as may be deemed necessary may be appointed by the members of the Agency. Section 2. Chairperson. The Chairperson shall be the Mayor of the City of Redwood City. He or she shall preside at all meetings of the Agency. Except as otherwise authorized by resolution of the Agency, the Chairperson shall sign all contracts, deeds and other instruments made by the Agency. At each meeting the Chairperson shall submit such recommendations and information as he or she may consider proper concerning the business affairs and policies of the Agency. Sections 3. Vice Chairperson. The Vice-Chairperson shall be the Vice-Mayor of the City of Redwood City. He or she shall perform the duties of the chairperson in the absence, incapacity, refusal or inability of the chairperson to act. Section 4. Secretarv. The secretary shall be the City Clerk of the City of Redwood City. He or she shall attend all meetings of the Agency and keep and maintain a full and true record of all proceedings of the Agency, keep all records of the Agency, have custody of the seal of the Agency, and shall perform all duties incident to the office secretary. Section 5. Executive Director. The Executive Director of the Successor Agency shall be the City Manager of the City of Redwood City.
