Prior to providing the three day notice of use, the City shall conduct a preliminary visit to the Property to determine what access is necessary to perForm the Work. City's notice of use shall inform Owner of the necessary access and entry for the Work. 7. Term. The term of this Agreement shall commence on the Date first written herein above and shall be renewed annually thereafter for � maximum period of ten years, unless either party delivers written notice of cancellation no later than one hundred eighty (180) days after commencement of Work each year, in which event this Agreement shall terminate and be of no further force or effect, unless an amended or extended agreement has been executed by both parties hereto before the commencement of any further Work by CITY. Notwithstanding the foregoing, CITY shall be entitled to access and enter upon the Property only once each year for not more than ten (10) consecutive business days each year to perform the annual maintenance as described in Exhibit B, unless OWNER agrees in writing that additional work is required, setting forth the allowed time for such extended access 8. Insurance. In the event CITY does not perform all necessary Work with its own employees and staff, before any outside contractor or its employees may access the Property or perform any Work on the Property, City's contractor for any such Work ("Contractor") shall name OWNER as an additional insured party under its commercial general liability policy and shall deliver a certificate of insurance to OWNER evidencing coverage of not less than $2,000,000 to OWNER for general liability. 9. Indemnitv. City and its Contractor, if one is used by City, in its agreement with the Contractor, shall indemnify, hold harmless, and defend OWNER and its officials, officers, employees, and agents, from and against every claim or demand made and every liability, loss, damage, or expense of any nature whatsoever and all costs or expenses incurred in connection therewith, including claims for property damage, bodily injury or death, together with any and all reasonably necessary attorneys' fees and costs, which arise out of the perFormance of the Project Work by City and/or its Contractor or its agents, employees, independent contractors, or subcontractors, except to the extent caused by the sole gross negligence or willful misconduct of OWNER or OWNER's tenants, officials, officers, employees or agents. 10. Riqhts Limited. This Agreement is intended and shall be construed only as a temporary right and license to annually enter and perform the Work on the Property described herein and not as the grant of any interest in the Property to the City. 11. Bindina Effect. This Agreement shall be bindfng upon the parties hereto and their respective successors, representatives, heirs and assigns. 12. Modification.
