Any action at law or in equity brought by either af the Parties for the purpose of enforcing a right ar rights provided for by this Agreement will be tried in a court of competent jurisdiction in the Coun#y of San Mateo, State of California, and the Parties wai�e all pro�isians of law providing for a change af�enue in these proceedings to any other county. 28. SUCC�SSORS AND ASSlGNS. It is mutually unders#aod and agreed that this Agreement wifl be binding upon City and Contractor and their r�spectiv� successors. Neither this Agreemerrt nor any part of it nor any manies due or to become due under it may be assigned by Contractor wi#hout the prior consent of City, which shall not be unreasonabfy withheld. 29. AUTHORITY. The individuals executing this Agreement and the instrum�nts refererrced in it on behalf of Contractar each represent and warrant that they have the legal power, right and actual authority to �ind Contracfor to the terrr�s and condi#ions of this Agreemertt. 30. ENTIRE AGREEMENT. This Agreement, together with any ntF�er written document re#erred to or contemplate� by it, embody the entire Agreement and understanding between the Parties refating to the subjec# matter of it.
