Cantractor wifl be respansible for payment of subcontractors. Contractor <br /> wifl bind every subconfracfor and every subcontractor of a subeontractor by the <br /> terms of this Agreement applicable fo Contractor's work unless specificafly noted <br /> to the contrary in the subcontract and ap�raved in wri#ing by City. <br /> 14. HOLD HARMLESS. Contractor h�reby agrees fa defend, indemnify <br /> and sa�e harmless City, its Council, officers, boards, camm�ssions, agents and <br /> employe�s {callecti�ely, "Indemnitees") against and from any and all claims, suits <br /> or actions of every name, kind and description, wF�ich may be brought against <br /> Indemnitees, ar any of them, by reasan af any injury to, or death of, any person <br /> (includ+ng corporations, partnerships and association) or damage suffered or <br /> sustained by any such person or property damage (including ioss af use thereo� <br /> arising from, or alleged to have arisen from, any act ar omission to act, negligent <br /> or otherwise, of Contractor, its officers, agents or employees under this <br /> Agreement. <br /> The duty of Contractor to defend, indemnify and save harmless, as set <br /> forth herein, will ir�clude the duty to defend as set forth in Section 2778 of the <br /> Cafifarnia Ci�ii Code; provided, however, that nothing herein will be construed to <br /> require Contractor to indemnify Indemnitees against any responsibility or liabifity <br /> in contra�ention of S�ction 2782 of the California Civil Code. This Paragraph 14 <br /> shail survive the termir�ation of this Agreement. <br /> 15. INSURANCE.
