Nothing contained in this Agr�ement will <br /> create any contractuai relationship between any subcnntractor of Contractor ar�d <br /> City. Contractor will be responsible far payment of subcantractors. Contractor <br /> will bind every subcontractor and e�ery subcontractor of a subcontractor by the <br /> terms of this Agreement applicable to Cantractor's work unfess specifically noted <br /> to the contrary in the subcontract and approved in writing by City. <br /> 14. HQLD HARMLESS. Contractor hereby agrees to defend, indemnify <br /> and save harmless City, its Cauncil, officers, boards, commissions, agents and <br /> employees (collecti�ely, "Indemnitees") against and from any and all claims, suits <br /> ar actions of every name, kind and cfescriptian, which may be b�ought against <br /> Indemnitees, ar any af them, �y reason of any injury to, ar death of, any persan <br /> (including carporations, partnerships and association} or damage suffered or <br /> sustained by any such person or property darr�age (including loss af use thereof) <br /> arising from, or alleged to ha�e arisen from, any ac# ar omission to act, negligent <br /> or otherwise, of Contractor, its officers, agents or emplayees urtder this <br /> Agreement. <br /> The duty of Contractnr to defend, indemn�fy and save harml�ss, as set <br /> fa�th herein, wilf include the duty to defend as set forth in Section 2778 of the <br /> Cafifornia CiviE Cade; provided, hawe�er, that nothing herein will be construed to <br /> require Contractor to indemnify Indemnitees against any responsibility or liability <br /> in contra��ntion of Section 2782 af the California Civil Code.
