Any action at law or in equity brought by either of the Part�es for the purpose af enforcing a right or rights provided for by this Agreement will b� tried in a court af competent jurisdiction in the Caunty of San Mateo, State af California, and the Parties waive all provisions of law pro�iding for a c�ange of ven�e in these proceedings to any ather cour�ty. 28. SUCC�SSORS AND ASSIGNS. It is mutually und�rstood and agreed that this Agreement will be binding upon City and Contracfor and their respective successors. Neither this Agreement nor any part of it nor ar�y monies due or ta become due under it may be assigrr�d by Contractor without the priar consent of City, which shal! not be unreasonably withhefd. 29. AUTHORITY. The individuals executing this Agreement and the instruments referenced in it on behalf of Contractar each repres�nt and warrant that they have the legal power, right and actuaf authority to bind Contractor to the terms and conditions af this Agreement. 30. ENTIRE AGREEMENT. This Agreement, together with any other written document referred ta or contemplated by it, embody the entire Agreement and understanding between the Parties relating to the subject matter of it. Neither �his Agreement nor any of its provisions may be amended, modified, waived or discharged except in a writing signed by both Parties. 31. PARAGRAPH HEADINGS.
