Nothing contained in this Agreement will <br /> create any contractual relationship between any subcontractor of Contractar and <br /> City. Contractar will be responsible for payment of subcvntractors. Contractor <br /> wilf bind e�ery subcontractor a�d every subcontraGtor of a subcantractor by the <br /> terms of this Agreement applicable #o Cantractar's work unless specifically noted <br /> to the contrary in the subcontract and approved in writing by City. <br /> �4. HOLD HARMLESS. Contractor hereby agrees to defend, indemnify <br /> and save harmless City, its Cou�cil, officers, boards, commissions, agen#s and <br /> employees {callecti�ely, "Indemnite�s") against and from any and ali ciaims, suits <br /> or actions af every name, kind and description, which may be brought against <br /> Indemnitees, or any of them, by reason of any injury to, ar death of, any person <br /> (including corporations, partnerships and associatior�} or damage suffered ar <br /> sustained by any such person or property damage {including loss of use thereo� <br /> arising �rom, or alleged to have arisen from, any act or omission to act, negligent <br /> or otherw�se, of Cantractar, its officers, agents or employees under this <br /> Agreement. <br /> The duty of Cantractar to defend, indemr�ifiy and sav� harmless, as set <br /> �orth herein, will include the duty to defend as set forth in 5ectiort 2778 of the <br /> California CiviE Cade; provided, however, that nothing herein will be canstrued to <br /> require Cantractar to indemnify Indemnitees against any responsibility or liability <br /> in cantra�ention of Section 2782 of the California Civil Cade. This Paragraph 14 <br /> s�all survive the terminatian of this Agreement. <br /> �5. INSURANCE.
